第五章 国际货物运输保险
一、名词解释
1.Particular Average(单独海损)是指不属于共同海损的货物损失,是由承保范围内的风险所直接导致的船舶或货物的部分损失。
2.General Average(共同海损)是指载货的船舶在海上遇到灾害、事故,威胁到船货等各方的共同安全时,为了解除这种威胁,维护船货的安全,使航程得以继续完成,船方有意识地、合理地采取措施,造成某些特殊损失或者支出特殊额外费用。

RULE OF INTERPRETATION
In the adjustment of general average the following Rules shall apply to the exclusion of any Law and Practice inconsistent therewith.
Except as provided by the Rule Paramount and the numbered Rules,general average shall be adjusted according to the lettered Rules.

RULE PARAMOUNT
In no case shall there be any allowance for sacrifice or expenditure unless reasonably made or incurred.
首要规则

RULE A
There is a general average act when,and only when,any extraordinary sacrifice or expenditure is intentionally and reasonably made or incurred for the common safety for the purpose of preserving from peril the property involved in a common maritime adventure.
General average sacrifices and expenditures shall be borne by the different contributing interests on the basis hereinafter provided.
规则A
1)只有在为了共同安全,使同一航程中的财产脱离危险,有意而合理地做出特殊牺牲或支付特殊费用时,才能构成共同海损行为。

RULE B
There is a common maritime adventure when one or more vessels are towing or pushing another vessel or vessels,provided that they are all involved in commercial activities and not in a salvage operation.
When measures are taken to preserve the vessels and their cargoes,if any,from a common peril,these Rules shall apply.
A vessel is not in common peril with another vessel or vessels if by simply disconnecting from the other vessel or vessels she is in safety;but if the disconnection is itself a general average act the common maritime adventure continues.

RULE C
Only such losses,damages or expenses which are the direct consequence of the general average act shall be allowed as general average.
In no case shall there be any allowance in general average for losses,damages or expenses incurred in respect of damage to the environment or in consequence of the escape or release of pollutant substances from the property involved in the common maritime adventure.
Demurrage,loss of market,and any loss or damage sustained or expense incurred by reason of delay,whether on the voyage or subsequently,and any indirect loss whatsoever,shall not be allowed as general average.

RULE D
Rights to contribution in general average shall not be affected,though the event which gave rise to the sacrifice or expenditure may have been due to the fault of one of the parties to the adventure,but this shall not prejudice any remedies or defences which may be open against or to that party in respect of such fault.

RULE E
The onus of proof is upon the party claiming in general average to show that the loss or expense claimed is properly allowable as general average.
All parties claiming in general average shall give notice in writing to the average adjuster of the loss or expense in respect of which they claim contribution within 12 months of the date of the termination of the common maritime adventure.
Failing such notification,or if within 12 months of a request for the same any of the parties shall fail to supply evidence in support of a notified claim,or particulars of value in respect of a contributory interest,the average adjuster shall be at liberty to estimate the extent of the allowance or the contributory value on the basis of the information available to him,which estimate may be challenged only on the ground that it is manifestly incorrect.

RULE F
Any additional expense incurred in place of another expense,which would have been allowable as general average shall be deemed to be general average and so allowed without regard to the saving,if any,to other interests,but only up to the amount of the general average expense avoided.

RULE G
General average shall be adjusted as regards both loss and contribution upon the basis of values at the time and place when and where the adventure ends.
This rule shall not affect the determination of the place at which the average statement is to be made up.
When a ship is at any port or place in circumstances which would give rise to an allowance in general average under the provisions of Rules X and XI,and the cargo or part thereof is forwarded to destination by other means,rights and liabilities in general average shall,subject to cargo interests being notified if practicable,remain as nearly as possible the same as they would have been in the absence of such forwarding,as if the adventure had continued in the original ship for so long as justifiable under the contract of affreightment and the applicable law.
The proportion attaching to cargo of the allowances made in general average by reason of applying the third paragraph of this Rule shall not exceed the cost which would have been borne by the owners of cargo if the cargo had been forwarded at their expense.

RULE I.JETTISON OF CARGO
No jettison of cargo shall be allowed as general average,unless such cargo is carried in accordance with the recognised custom of the trade.

RULE II.LOSS OR DAMAGE BY SACRIFICES FOR THE COMMON SAFETY
Loss of or damage to the property involved in the common maritime adventure by or in consequence of a sacrifice made for the common safety,and by water which goes down a ship's hatches opened or other opening made for the purpose of making a jettison for the common safety,shall be allowed as general average.

为了共同安全做出牺牲,或是为了共同安全进行抛弃、开舱或打洞以致进水,造成共同航程中的财产损失,应作为共同海损受到补偿。
RULE III.EXTINGUISHING FIRE ON SHIPBOARD
Damage done to a ship and cargo,or either of them,by water or otherwise,including damage by beaching or scuttling a burning ship,in extinguishing a fire on board the ship,shall be allowed as general average;except that no allowance shall be made for damage by smoke however caused or by heat of the fire.

RULE IV.CUTTING AWAY WRECK
Loss or damage sustained by cutting away wreck or parts of the ship which have been previously carried away or are effectively lost by accident shall not be allowed as general average.

因切除由于意外事故原已折断或实际已毁损的船舶残留部分所遭受的损失,不得作为共同海损受到补偿。
RULE V.VOLUNTARY STRANDING
When a ship is intentionally run on shore for the common safety,whether or not it might have been driven on shore,the consequent loss or damage to the property involved in the common maritime adventure shall be allowed in general average.
规则五 有意搁浅
船舶无论是否势必搁浅,如果为了共同安全有意搁浅,因此所造成的共同航程中的财产的损失应认作共同海损。
RULE VI.SALVAGE REMUNERATION
a.Salvage payments,including interest thereof and legal fees associated with such payments,shall lie where they fall and shall not be allowed in general average,save only that if one party to the salvage shall have paid all or any of the proportion of salvage(including interest and legal fees)due from another party(calculated on the basis of salved values and not general average contributory values),the unpaid contribution to salvage due from that other party shall be credited in the adjustment to the party that has paid it,and debited to the party on whose behalf the payment was made.
b.Salvage payments referred to in paragraph(a)above shall include any salvage remuneration in which the skill and efforts of the salvors in preventing or minimising damage to the environment such as is referred to in Article 13 paragraph 1(b)of the International Convention on Salvage 1989 have been taken into account.
c.Special compensation payable to a salvor by the ship-owner under Article 14 of the said Convention to the extent specified in paragraph 4 of that Article or under any other provision similar in substance(such as SCOPIC)shall not be allowed in general average and shall not be considered a salvage payment as referred to in paragraph(a)of this Rule.

(2)上述第一段中所指的救助费用应包括1989年国际救助公约第13条第1款(b)所述的考虑救助人在防止或减轻环境损害中提供的技术和努力而付给救助人的任何救助报酬。
(3)根据上述公约第14条第4款或任何其他实质上类似的规定(如SCOPIC)由船舶所有人付给救助人的特别补偿不得认入共同海损,也不被认为是本条第(1)款下的救助报酬。
RULE VII.DAMAGE TO MACHINERY AND BOILERS
Damage caused to any machinery and boilers of a ship which is ashore and in a position of peril,in endeavouring to refloat,shall be allowed in general average when shown to have arisen from an actual intention to float the ship for the common safety at the risk of such damage;but where a ship is afloat no loss or damage caused by working the propelling machinery and boilers shall in any circumstances be allowed as general average.
规则七 机器和锅炉的损坏
在船舶搁浅并有危险的情况下,如经证明确是为了共同安全,有意使机器、锅炉冒受损坏的危险而设法起浮船舶,由此造成任何机器和锅炉的损坏,应认入共同海损;但船舶在浮动状态下因使用推进机器和锅炉所造成的损失,在任何情况下都不得作为共同海损受到补偿。
RULE VIII.EXPENSES LIGHTENING A SHIP WHEN ASHORE AND CONSEQUENT DAMAGE
When a ship is ashore and cargo and ship's fuel and stores or any of them are discharged as a general average act,the extra cost of lightening,lighter hire and reshipping(if incurred),and any loss or damage to the property involved in the common maritime adventure in consequence thereof,shall be allowed as general average.
规则八 减载搁浅船舶所引起的费用和损坏
作为共同海损行为而卸下搁浅船舶的货物、船用燃料和物料时,其减载、租用驳船和重装(如果发生)的额外费用和由此造成共同航程中的财产的任何灭失或损坏,都应认作共同海损。
RULE IX.CARGO,SHIP'S MATERIALS AND STORES USED FOR FUEL
Cargo,ship's materials and stores,or any of them,necessarily used for fuel for the common safety at a time of peril shall be allowed as general average,but when such an allowance is made for the cost of ship's materials and stores the general average shall be credited with the estimated cost of the fuel which would otherwise have been consumed in prosecuting the intended voyage.
规则九 用作燃料的货物、船用材料和物料
在遭遇危险时,为了共同安全的需要,用作燃料的货物、船用材料和物料,应认作共同海损,但船用材料和物料费用受到补偿时,为完成原定航程本应消耗的燃料的估计费用,应从共同海损中扣除。
RULE X.EXPENSES AT PORT OF REFUGE,ETC.
a.(i)When a ship shall have entered a port or place of refuge or shall have returned to her port or place of loading in consequence of accident,sacrifice or other extraordinary circumstances which render that necessary for the common safety,the expenses of entering such port or place shall be allowed as general average;and when she shall have sailed thence with her original cargo,or a part of it,the corresponding expenses of leaving such port or place consequent upon such entry or return shall likewise be allowed as general average.
(ii)When a ship is at any port or place of refuge and is necessarily removed to another port or place of refuge because repairs cannot be carried out in the first port or place,the provisions of this Rule shall be applied to the second port or place of refuge as if it were a port or place of refuge and the cost of such removal including temporary repairs and towage shall be allowed as general average.The provisions of Rule XI shall be applied to the prolongation of the voyage occasioned by such removal.
b.(i)The cost of handling on board or discharging cargo,fuel or stores whether at a port or place of loading,call or refuge,shall be allowed as general average,when the handling or discharge was necessary for the common safety or to enable damage to the ship caused by sacrifice or accident to be repaired,if the repairs were necessary for the safe prosecution of the voyage,except in cases where the damage to the ship is discovered at a port or place of loading or call without any accident or other extraordinary circumstances connected with such damage having taken place during the voyage.
(ii)The cost of handling on board or discharging cargo,fuel or stores shall not be allowable as general average when incurred solely for the purpose of restowage due to shifting during the voyage,unless such restowage is necessary for the common safety.
c.Whenever the cost of handling or discharging cargo,fuel or stores is allowable as general average,the costs of storage,including insurance if reasonably incurred,reloading and stowing of such cargo,fuel or stores shall likewise be allowed as general average.The provisions of Rule XI shall be applied to the extra period of detention occasioned by such reloading or restowing.
But when the ship is condemned or does not proceed on her original voyage,storage expenses shall be allowed as general average only up to the date of the ship's condemnation or of the abandonment of the voyage or up to the date of completion of discharge of cargo if the condemnation or abandonment takes place before that date.
规则十 在避难港等地的费用
(1)①船舶因遭遇意外事故、牺牲或其他特殊情况,为了共同安全必须驶入避难港、避难地或驶回装货港、装货地时,其驶入这种港口或地点的费用,应认作共同海损;其后该船舶装载原装货物或其一部分驶出该港口或地点的相应费用,也应认作共同海损。
②船舶在某一避难港或避难地不能进行修理而需转移到另一避难港口或地点时,此第二避难港口或地点应视作避难港或避难地适用本条的规定。此项转移费用,包括临时修理和拖带费用,应作为共同海损。因此项转移而引起的航程延长,适用规则十一的规定。
(2)①在装货、停靠或避难港口或地点在船上搬移或卸下货物、燃料或物料的费用,应认作共同海损,如果这种搬移或卸载是共同安全所必需,或者是为了使船舶因牺牲或意外事故所造成的损坏得以修理,而且此项修理是安全地完成航程所必需的。但如果船舶的损坏是在装货或停靠港口或地点发现的,而且航程中没有发生过与此项损坏有关的任何意外事故或其他特殊情况,则不在此列。
②只是为了重新积载在航程中移动的货物而产生的在船上搬移或卸下货物、燃料或物料的费用,除非该项重新积载是共同安全所必需的,不得认作共同海损。
(3)当货物、燃料或物料的搬移或卸载费用可认作共同海损时,该货物、燃料或物料的存储费,包括合理支付的保险费、重装费和积载费也应认作共同海损。规则十一适用于重装或重新积载所引起的额外停留期间。
但是,如果船舶报废或不继续原定航程,认作共同海损的储存费只应计算至船舶报废或放弃航程之日为止。如果船舶在卸货完毕以前报废或放弃航程,则应计算至卸货完毕之日为止。
RULE XI.WAGES AND MAINTENANCE OF CREW AND OTHER EXPENSES PUTTING IN TO AND AT A PORT OF REFUGE,ETC.
a.Wages and maintenance of master,officers and crew reasonably incurred and fuel and stores consumed during the prolongation of the voyage occasioned by a ship entering a port or place of refuge or returning to the port or place of loading shall be allowed as general average when the expenses of entering such port or place are allowable as general average in accordance with Rule X(a).
b.For the purpose of this and the other Rules wages shall include all payments made to or for the benefit of the master,officers and crew,whether such payments be imposed by law upon the ship-owners or be made under the terms of articles of employment.
c.(i)When a ship shall have entered or been detained in any port or place in consequence of accident,sacrifice or other extraordinary circumstances which render that necessary for the common safety,or to enable damage to the ship caused by sacrifice or accident to be repaired,if the repairs were necessary for the safe prosecution of the voyage,fuel and stores consumed during the extra period of detention in such port or place until the ship shall or should have been made ready to proceed upon her voyage,shall be allowed as general average,except such fuel and stores as are consumed in effecting repairs not allowable in general average.
(ii)Port charges incurred during the extra period of detention shall likewise be allowed as general average except such charges as are incurred solely by reason of repairs not allowable in general average.
(iii)Provided that when damage to the ship is discovered at a port or place of loading or call without any accident or other extraordinary circumstance connected with such damage having taken place during the voyage,then fuel and stores consumed and port charges incurred during the extra detention for repairs to damages so discovered shall not be allowable as general average,even if the repairs are necessary for the safe prosecution of the voyage.
(iv)When the ship is condemned or does not proceed on her original voyage,fuel and stores consumed and port charges shall be allowed as general average only up to the date of the ship's condemnation or of the abandonment of the voyage or up to the date of completion of discharge of cargo if the condemnation or abandonment takes place before that date.
d.The cost of measures undertaken to prevent or minimise damage to the environment shall be allowed in general average when incurred in any or all of the following circumstances:
(i)as part of an operation performed for the common safety which,had it been undertaken by a party outside the common maritime adventure,would have entitled such party to a salvage reward;
(ii)as a condition of entry into or departure from any port or place in the circumstances prescribed in Rule X(a);
(iii)as a condition of remaining at any port or place in the circumstances prescribed in Rule XI(c),provided that when there is an actual escape or release of pollutant substances the cost of any additional measures required on that account to prevent or minimise pollution or environmental damage shall not be allowed as general average;
(iv)necessarily in connection with the discharging,storing or reloading of cargo whenever the cost of those operations is allowable as general average.
规则十一 驶入和停留在避难港等地的船员工资、给养和其他费用
(1)如果船舶驶入避难港、避难地或驶回装货港、装货地的费用依照规则十(1)的规定可认作共同海损,则由此而引起的航程延长期间合理产生的船长、高级船员和一般船员的工资、给养和消耗的燃料、物料,也应认作共同海损。
(2)本条和其他各条所指的工资应包括付给船长、高级船员和一般船员或为他们的利益而支付的一切款项,不论这种款项是因法律规定由船东支付的或者是根据雇佣条件支付的。
(3)①由于意外事故、牺牲或其他特殊情况,船舶驶入或停留在任何港口或地点,如果是为了共同安全的需要,或者是为了使船舶因牺牲或意外事故所造成的损坏得以修理,而且此项修理是安全完成航程所必需的,则在此种港口或地点额外停留期间,直至该船舶完成或应能完成继续航行的准备工作之时为止所消耗的燃油和物料应认入共同海损,但此燃油和物料中为修理的消耗不能认入共同海损。
②额外停留期间的港口费用也应认作共同海损,但仅为进行不属于共同海损的修理而支付的港口费用除外。
③如果船舶的损坏是在装货或停靠港口或地点发现的,而且航程中没有发生过与此项损坏有关的任何意外事故或其他特殊情况,则在修理上述损坏的额外停留期间所消耗的燃料、物料和港口费用不得认作共同海损,即使这项修理是安全的完成航程所必需的。
如果船舶报废或不继续原定航程,认作共同海损的燃料、物料和港口费用,只应计算至船舶报废或放弃航程之日为止;如果船舶在卸货完毕以前报废或放弃航程,则应计算至卸货完毕之日为止。
(4)为了防止或减轻环境损害采取措施的费用,如果是在下列情况下产生的,应认作共同海损:
①作为为了共同安全而采取的措施的一部分,而这种措施假如由同一航程以外的第三方所采取,该方可获得救助报酬的。
②作为规则十(1)所述的情况下船舶进入或离开任何港口或地点的条件的。
③作为规则十一(2)所述情况下船舶在任何港口或地点停留的条件的,但假如实际已有污染物漏出或排放,则为了防止或减轻污染或环境损害而采取任何额外措施的费用,不得作为共同海损受偿。
④如果为了货物卸载、储存和重装的需要,这些措施的费用可以认入共同海损。
RULE XII.DAMAGE TO CARGO IN DISCHARGING,ETC.
Damage to or loss of cargo,fuel or stores sustained in consequence of their handling,discharging,storing,reloading and stowing shall be allowed as general average,when and only when the cost of those measures respectively is allowed as general average.
规则十二 货物在卸载等过程中遭受的损坏
只有当搬移、卸载、储存、重装和积载货物、燃料或物料的费用可认作共同海损时,由于各该措施的后果而使货物、燃料或物料所遭受的损失才应作为共同海损受到补偿。
RULE XIII.DEDUCTIONS FROM COST OF REPAIRS
a.Repairs to be allowed in general average shall not be subject to deductions in respect of“new for old”where old material or parts are replaced by new unless the ship is over fifteen years old in which case there shall be a deduction of one third.The deductions shall be regulated by the age of the ship from the 31st December of the year of completion of construction to the date of the general average act,except for insulation,life and similar boats,communications and navigational apparatus and equipment,machinery and boilers for which the deductions shall be regulated by the age of the particular parts to which they apply.
b.The deductions shall be made only from the cost of the new material or parts when finished and ready to be installed in the ship.No deduction shall be made in respect of provisions,stores,anchors and chain cables.Dry-dock and slipway dues and costs of shifting the ship shall be allowed in full.
c.The costs of cleaning,painting or coating of bottom shall not be allowed in general average unless the bottom has been painted or coated within the twelve months preceding the date of the general average act in which case one half of such costs shall be allowed.
规则十三 修理费用的扣减
(1)用新材料或新部件更换旧材料或旧部件时,如果船龄不超过十五年,列入共同海损的修理费用,不作“以新换旧”的扣减,否则应扣减三分之一。是否扣减,应按船龄确定,船龄是从船舶建成之年的12月31日起计算至共同海损行为发生之日为止。但绝缘材料、救生艇和类似小艇、通信和航海仪器和设备、机器和锅炉应按各自使用的年数确定。
(2)扣减应只从新材料或新部件制成并准备安装到船上时的价值扣减。供应品、物料、锚和锚链不作扣减。干坞费、船台费和移泊费应全部认入共同海损。
(3)船底刷洗、油漆或涂层的费用不应列入共同海损,但如在共同海损行为发生之日以前十二月内曾经油漆或涂层,则油漆或涂层费用的半数应作为共同海损。
RULE XIV.TEMPORARY REPAIRS
a.Where temporary repairs are effected to a ship at a port of loading,call or refuge,for the common safety,or of damage caused by general average sacrifice,the cost of such repairs shall be allowed as general average.
b.Where temporary repairs of accidental damage are effected in order to enable the adventure to be completed,the cost of such repairs shall be allowed as general average without regard to the saving,if any,to other interests,but only up to the saving in expense which would have been incurred and allowed in general average if such repairs had not been effected there.Provided that for the purposes of this paragraph only,the cost of temporary repairs falling for consideration shall be limited to the extent that the cost of temporary repairs effected at the port of loading,call or refuge,together with either the cost of permanent repairs eventually effected or,if unrepaired at the time of the adjustment,the reasonable depreciation in the value of the vessel at the completion of the voyage exceeds the cost of permanent repairs had they been effected at the port of loading,call or refuge.
c.No deductions“new for old”shall be made from the cost of temporary repairs allowable as general average.
规则十四 临时修理
(1)如果船舶为了共同安全或对共同海损牺牲所造成的损坏在装货、停靠或避难港进行临时修理,此项修理费用应认入共同海损。
(2)如果为了完成航程而对意外损坏进行临时修理,则无须考虑对于其他方有无节省,此项修理费用应认作共同海损,但其数额应以因此所节省的如不在该港进行临时修理本应支付并认入共同海损的费用为限。但就本段而言,需要考虑的临时修理费用,应以在装货港、停靠港或避难港进行临时修理的费用与最终进行永久修理的费用之和,或如在理算时未进行修理,则与航程完成时船舶的合理贬值之和超过假如在装货港、停靠港或避难港进行永久修理所需费用的数额为限。
(3)可作为共同海损的临时修理费用,不应作“以新换旧”的扣减。
RULE XV.LOSS OF FREIGHT
Loss of freight arising from damage to or loss of cargo shall be allowed as general average,either when caused by a general average act,or when the damage to or loss of cargo is so allowed.
Deduction shall be made from the amount of gross freight lost,of the charges which the owner thereof would have incurred to earn such freight,but has,in consequence of the sacrifice,not incurred.
规则十五 运费损失
如果货物的损失是共同海损行为造成的,或者已作为共同海损受到补偿,则由于货物损失所引起的运费损失,也应作为共同海损受到补偿。
损失的运费总额应扣减所有人为赚得此项运费本应支付但由于牺牲而无须支付的费用。
RULE XVI.AMOUNT TO BE ALLOWED FOR CARGO LOST OR DAMAGED BY SACRIFICE
a.The amount to be allowed as general average for damage to or loss of cargo sacrificed shall be the loss which has been sustained thereby based on the value at the time of discharge,ascertained from the commercial invoice rendered to the receiver or if there is no such invoice from the shipped value.The value at the time of discharge shall include the cost of insurance and freight except insofar as such freight is at the risk of interests other than the cargo.
b.When cargo so damaged is sold and the amount of the damage has not been otherwise agreed,the loss to be allowed in general average shall be the difference between the net proceeds of sale and the net sound value as computed in the first paragraph of this Rule.
规则十六 货物因牺牲所受损失的补偿数额
(1)牺牲的货物,作为共同海损受到补偿的数额,应是以其在卸货时的价值为基础计算出的损失。此项价值应根据送交收货人的商业发票确定;如果没有此项发票,则应根据装运价值确定。货物在卸货时的价值应包括保险费和运费,但不由货方承担风险的运费除外。
(2)如果受损货物已经出售,而其损失数额未经另行议定,则作为共同海损受到补偿的数额,应根据出售净得数额与按照本条第一款计算的完好净值之间的差额确定。
RULE XVII.CONTRIBUTORY VALUES
a.(i)The contribution to a general average shall be made upon the actual net values of the property at the termination of the adventure except that the value of cargo shall be the value at the time of discharge,ascertained from the commercial invoice rendered to the receiver or if there is no such invoice from the shipped value.
(ii)The value of the cargo shall include the cost of insurance and freight unless and insofar as such freight is at the risk of interests other than the cargo,deducting therefrom any loss or damage suffered by the cargo prior to or at the time of discharge.
(iii)The value of the ship shall be assessed without taking into account the beneficial or detrimental effect of any demise or time charter party to which the ship may be committed.
b.To these values shall be added the amount allowed as general average for property sacrificed,if not already included,deduction being made from the freight and passage money at risk of such charges and crew's wages as would not have been incurred in earning the freight had the ship and cargo been totally lost at the date of the general average act and have not been allowed as general average;deduction being also made from the value of the property of all extra charges incurred in respect thereof subsequently to the general average act,except such charges as are allowed in general average or fall upon the ship by virtue of an award for special compensation under Art.14 of the International Convention on Salvage,1989 or under any other provision similar in substance.
c.In the circumstances envisaged in the third paragraph of Rule G,the cargo and other property shall contribute on the basis of its value upon delivery at original destination unless sold or otherwise disposed of short of that destination,and the ship shall contribute upon its actual net value at the time of completion of discharge of cargo.
d.Where cargo is sold short of destination,however,it shall contribute upon the actual net proceeds of sale,with the addition of any amount allowed as general average.
e.Mails,passengers'luggage,personal effects and accompanied private motor vehicles shall not contribute to general average.
规则十七 分摊价值
(1)①共同海损的分摊,应以航程终止时财产的实际净值为基础,但货物应以卸货时的价值为基础,此项价值应根据送交收货人的商业发票确定;如果没有此项发票,则应根据装运价值确定。
②货物的价值应包括保险费和运费(但不由货方承担风险的运费除外),并扣减卸货前和卸货时所遭受的损失。
③确定船舶的价值时,无须考虑该船因订有光船或定期租船契约而产生的有利或不利影响。
(2)上述价值如果没有包括牺牲的财产作为共同海损受到补偿的数额,则应加上这一数额。有风险的客、货运费,应扣减假如船舶和货物在共同海损行为发生之日全部损失就无须为赚得该项费用而支付的、不属于共同海损的费用和船员工资。财产价值还应扣减在共同海损行为发生以后所支付的一切额外费用,但已作为共同海损的费用或根据1989年国际救助公约第14条或任何其他实质上类似的规定裁决应由船舶承担的特别补偿除外。
(3)在规则G第三款所述的情况下,货物和其他财产,除非在运达目的地以前售出或另作处理,应以其在原目的地交货时的价值为基础参加分摊;船舶则应以其在卸货完毕时的实际净值参加分摊。
(4)如果货物在运达目的地以前出售,应按出售净得的数额加上作为共同海损受到补偿的数额参加分摊。
(5)邮件、旅客行李、私人物品和随带的机动车辆,不参加共同海损分摊。
RULE XVIII.DAMAGE TO SHIP
The amount to be allowed as general average for damage or loss to the ship,her machinery and/or gear caused by a general average act shall be as follows:
a.When repaired or replaced,the actual reasonable cost of repairing or replacing such damage or loss,subject to deductions in accordance with Rule XIII;
b.When not repaired or replaced,the reasonable depreciation arising from such damage or loss,but not exceeding the estimated cost of repairs.But where the ship is an actual total loss or when the cost of repairs of the damage would exceed the value of the ship when repaired,the amount to be allowed as general average shall be the difference between the estimated sound value of the ship after deducting therefrom the estimated cost of repairing damage which is not general average and the value of the ship in her damaged state which may be measured by the net proceeds of sale,if any.
规则十八 船舶损坏
共同海损行为造成的船舶、机器和船具的损失,应作为共同海损的数额如下:
(1)如已经修理或更换,按该项损失的修理或更换的实际合理费用,并根据规则十三的规定进行扣减。
(2)如未经修理或更换,按该项损失引起的合理贬值,但不得超过估计的修理费用。如船舶遭受实际全损或修理费用超过修复后的船舶价值,则作为共同海损的数额应为该船的估计完好价值减去不属于共同海损损失的估计修理费用和船舶在受损状态下的价值(如果售出则为出售净得)的余额。
RULE XIX.UNDECLARED OR WRONGFULLY DECLARED CARGO
a.Damage or loss caused to goods loaded without the knowledge of the shipowner or his agent or to goods wilfully misdescribed at time of shipment shall not be allowed as general average,but such goods shall remain liable to contribute,if saved.
b.Damage or loss caused to goods which have been wrongfully declared on shipment at a value which is lower than their real value shall be contributed for at the declared value,but such goods shall contribute upon their actual value.
规则十九 未经申报或申报不实的货物
(1)未通知船舶所有人或其代理人而装载的货物或装运时故意谎报的货物所遭受的损失,不得作为共同海损。但此项货物如果获救,仍有参加共同海损分摊的责任。
(2)装运时不正当地以低于实际价值申报的货物在遭受损失时,应按申报价值受到补偿,但应按实际价值参加分摊。
RULE XX.PROVISION OF FUNDS
a.The capital loss sustained by the owners of goods sold for the purpose of raising funds to defray general average disbursements shall be allowed in general average.
b.The cost of insuring average disbursements shall also be allowed in general average.
规则二十 提供的款项
(1)为筹款支付共同海损费用而变卖货物致使货主遭受的资本损失,均应认入共同海损。
(2)共同海损费用垫款的保险费,也应作为共同海损。
RULE XXI.INTEREST ON LOSSES ALLOWED IN GENERAL AVERAGE
a.Interest shall be allowed on expenditure,sacrifices and allowances in general average until three months after the date of issue of the general average adjustment,due allowance being made for any payment on account by the contributory interests or from the general average deposit fund.
b.Each year the Assembly of the ComitéMaritime International shall decide the rate of interest which shall apply.This rate shall be used for calculating interest accruing during the following calendar year.
*The rate of interest fixed by the CMI Assembly on 16 April 2005 is 4.5%.
规则二十一 共同海损利息
(1)对于共同海损费用、牺牲和受补偿项目,应给予年利率百分之七的利息,计算至共同海损理算书发出日后三个月之日止;对由各分摊方预付或从共同海损保证金内先行拨付的一切款,也应给予利息。
(2)国际海事委员会每年决定将适用的年利率。该年利率用于计算下一年度的利息。
RULE XXII.TREATMENT OF CASH DEPOSITS
Where cash deposits have been collected in respect of cargo's liability for general average,salvage or special charges such deposits shall be paid without any delay into a special account in the joint names of a representative nominated on behalf of the shipowner and a representative nominated on behalf of the depositors in a bank to be approved by both.The sum so deposited together with accrued interest,if any,shall be held as security for payment to the parties entitled thereto of the general average,salvage or special charges payable by cargo in respect of which the deposits have been collected.Payments on account or refunds of deposits may be made if certified to in writing by the average adjuster.Such deposits and payments or refunds shall be without prejudice to the ultimate liability of the parties.
规则二十二 保证金的处理
如果就货物应负担的共同海损、救助或特殊费用收取了保证金,此项保证金应以船舶所有人和保证金交付者所分别指定的代表的联合名义,立即存入经双方认可的银行的特别账户。此项存款连同可能产生的利息,作为有关货方向应收回上述费用的有关方的担保。如经理算师书面证明,可用保证金进行预付或将保证金退还。保证金的提供、支用或退还不影响各有关方的最后责任。
RULE XXIII.TIME BAR FOR CONTRIBUTIONS TO GENERAL AVERAGE
a.Subject always to any mandatory rule on time limitation contained in any applicable law:
(i)Any rights to general average contribution,including any rights to claim under general average bonds and guarantees,shall be extinguished unless an action is brought by the party claiming such contribution within a period of one year after the date upon which the general average adjustment was issued.However,in no case shall such an action be brought after six years from the date of the termination of the common maritime adventure.
(ii)These periods may be extended if the parties so agree after the termination of the common maritime adventure.

a.The Uniform Rules for Collections,1995 Revision,ICC Publication No.522,shall apply to all collections as defined in Article 2 where such rules are incorporated into the text of the“collection instruction”referred to in Article 4 and are binding on all parties thereto unless otherwise expressly agreed or contrary to the provisions of a national,state or local law and/or regulation which cannot be departed from.

b.Banks shall have no obligation to handle either a collection or any collection instruction or subsequent related instructions.

c.If a bank elects,for any reason,not to handle a collection or any related instructions received by it,it must advise the party from whom it received the collection or the instructions by telecommunication or,if that is not possible,by other expeditious means,without delay.

Article 2 Definition of Collection
第二款 托收的定义
For the purposes of these Articles:

a.“Collection”means the handling by banks of documents as defined in sub-Article 2(b),in accordance received,in order to:

Ⅱ.Deliver documents against payment and/or against acceptance,or

b.“Documents”means financial documents and/or commercial documents:

Ⅰ.“Financial documents”means bills of exchange,promissory notes,cheques,or other similar instruments used for obtaining the payment of money.

Article 3 Related party of collection

a.For the purposes of these Articles the“parties thereto”are:

Ⅰ.The“principal”who is the party entrusting the handling of a collection to a bank.

Ⅱ.The“remitting bank”which is the bank to which the principal has entrusted the handling of a collection.

Ⅲ.“Collecting bank”which is any bank,other than the remitting bank,involved in processing the collection.
③代收行即除寄单行以外的任何参与处理托收业务的任何银行。
Ⅳ.The“presenting bank”which is the collecting bank making presentation to the drawee.
④提示行即向付款人提示的代收行。
b.The“drawee”is the one to whom presentation is to be made in accordance with the collection instruction.

B.Form and Structure of Collections

Article 4 Collection Instruction
第四款 托收指示
A i.All documents sent for collection must be accompanied by a collection instruction indicating that the collection is subject to URC522 and giving complete and precise instructions.Banks are only permitted to act upon the instructions given in such collection instruction,and in accordance with these Rules.
(1)①所有送往托收的单据必须附有一项托收指示,注明该项托收将遵循《托收统一规则》第522号文件并且列出完整和明确的指示。银行只准允根据该托收指示中的命令和本规则行事。
ii.Banks will not examine documents in order to obtain instructions.

iii.Unless otherwise authorized in the collection instruction,banks will disregard any instructions from any party/bank other than the party/bank from whom they received the collections.

B A collection instruction should contain the following items of information,as appropriate.

i.Details of the bank from which the collection was received including full name,postal and SWIFT addresses,telex,telephone,facsimile numbers and reference.

ii.Details of the principal including full name,postal address,and if applicable telex,telephone and facsimile numbers.

It is the responsibility of the party preparing the collection instruction to ensure that the terms for the delivery of documents are clearly and unambiguously stated,otherwise banks will not be responsible for any consequences arising therefrom.
缮制托收指示的有关方应有责任清楚无误地说明,确保单据交付的条件,否则的话,银行对此所产生的任何后果将不承担责任。
viii.Charges to be collected,indicating whether they may be waived or not.

ix.Interest to be collected,if applicable,indicating whether it may be waived or not,including:
a)rate of interest
b)interest period
c)basis of calculation(for example 360 or 365 days in year)as applicable.

x.Method of payment and form of payment advice.

i.Collection instructions should bear the complete address of the drawee or of the domicile at which the presentation is to be made.If the address is incomplete or incorrect,the collecting bank may,without any liability and responsibility on its part,endeavour to ascertain the proper address.
(3)①托收指示应载明付款人或将要办理提示场所的完整地址。如果地址不全或有错误,代收银行可尽力去查明恰当的地址,但其本身并无义务和责任。
ii.The collecting bank will not be liable or responsible for any ensuing delay as a result of an incomplete or incorrect address being provided.

C.Form of Presentation

Article 5 Presentation
第五款 提示
a.For the purposes of these Articles,presentation is the procedure whereby the presenting bank makes the documents available to the drawee as instructed.
(1)就本条款而言,提示是表示银行按照指示使单据对付款人发生有效用的程序。
b.The collection instruction should state the exact period of time within which any action is to be taken by the drawee.
(2)托收指示应列明付款人将要采取行动的确切期限。
Expressions such as“first,”“prompt,”“immediate,”and the like should not be used in connection with presentation or with reference to any period of time within which documents have to be taken up or for any other action that is to be taken by the drawee.If such terms are used banks will disregard them.
诸如“首先”“迅速”“立即”和类似的表述不应用于提示、或付款人赎单采取任何其他行动的任何期限。如果采用了该类术语,银行将不予理会。
c.Documents are to be presented to the drawee in the form in which they are received,except that banks are authorized to affix any necessary stamps,at the expense of the party from whom they received the collection unless otherwise instructed,and to make any necessary endorsements or place any rubber stamps or other identifying marks or symbols customary to or required for the collection operation.

d.For the purpose of giving effect to the instructions of the principal,the remitting bank will utilize the bank nominated by the principal as the collecting bank.In the absence of such nomination,the remitting bank will utilize any bank of its own,or another bank's choice in the country of payment or acceptance or in the country where other terms and conditions have to be complied with.
(4)为了使委托人的指示得以实现,寄单行将以委托人所指定的银行作为代收行。在未指定代收行时,寄单行将使用他自身的任何银行或者在付款或承兑的国家中,或在必须遵守其他条件的国家中选择另外的银行。
e.The documents and collection instruction may be sent directly by the remitting bank to the collecting bank or through another bank as intermediary.

f.If the remitting bank does not nominate a specific presenting bank,the collecting bank may utilize a presenting bank of its choice.

Article 6 Sight/Acceptance
第六款 即期/承兑
In the case of documents payable at sight the presenting bank must make presentation for payment without delay.In the case of documents payable at a tenor other than sight the presenting bank must,where acceptance is called for,make presentation for acceptance without delay,and where payment is called for,make presentation for payment not later than the appropriate maturity date.
如果是见单即付的单据,提示行必须立即办理提示付款不得延误;如果不是即期而是远期付款单据,提示行必须在不晚于应到期日,如是要承兑立即办理提示承兑,如是付款时立即办理提示付款。
Article 7 Release of Commercial Documents
第七款 商业单据的交单(承兑交单D/A和付款交单D/P)
Documents Against Acceptance(D/A)vs.Documents Against Payment(D/P)
a.Collection should not contain bills of exchange payable at a future date with instruction that commercial documents are to be delivered against payment.
(1)附有商业单据必须在付款时交出的托收指示,不应包含远期付款的汇票。
b.If a collection contains a bill of exchange payable at a future date,the collection instruction should state whether the commercial documents are to be released to the drawee against acceptance(D/A)or against payment(D/P).In the absence of such statement commercial documents will be released only against payment and the collecting bank will not be responsible for any consequences arising out of any delay in the delivery of documents.
(2)如果托收包含有远期付款的汇票,托收指示应列明商业单据是凭承兑不是凭付款交给付款人。如果未有说明,商业单据只能是付款交单,而代收行对由于交付单据的任何延误所产生的任何后果将不承担责任。
c.If a collection contains a bill of exchange payable at a future date and the collection instruction indicates that commercial documents are to be released against payment,documents will be released only against such payment and the collecting bank will not be responsible for any consequences arising out of any delay in the delivery of documents.
(3)如果托收包含有远期付款的汇票而且托收指示列明应凭付款交出商业单据时,则单据只能凭该项付款才能交付,而代收行对由于交单的任何延误所产生的任何结果将不承担责任。
Article 8 Creation of Documents
第八款 代制单据
Where the remitting bank instructs that either the collecting bank or the drawee is to create documents(bills of exchange promissory notes,trust receipts,letters of undertaking or other documents)that were not included in the collection,the form and wording of such documents shall be provided by the remitting bank,otherwise the collecting bank shall not be liable or responsible for the form and wording of any such document provided by the collecting bank and/or the drawee.
在寄单行指示或者是代收行或者是付款人应代制托收中未曾包括的单据(汇票、本票、信托收据、保证书或其他单据)时,这些单据的格式和词句应由寄单行提供,否则代收行对由代收行和/或付款人所提供任何该种单据的格式和词句将不承担责任或对其负责。
D.Liabilities and Responsibilities

Article 9 Good faith and Reasonable Care
Banks will act in good faith and exercise reasonable care.

Article 10 Documents vs.Goods/Services/Performances
第十款 单据与货物/服务/行为
a.Goods should not be dispatched directly to the address of a bank or consigned to or to the order of a bank without prior agreement on the part of that bank.
Nevertheless,in the event that goods are dispatched directly to the address of a bank or consigned to or to the order of a bank for release to a drawee against payment or acceptance or upon other terms and conditions without prior agreement on the part of that bank,such bank shall have no obligation to take delivery of the goods,which remain at the risk and responsibility of the party dispatching the goods.
(1)未经银行事先同意,货物不得以银行的地址直接发送给该银行或者以该行作为收货人或者以该行为抬头人。
然而,如果未经银行事先同意而将货物以银行的地址直接发送给了该银行,或以该行做了收货人或抬头人,并请该行凭付款或承兑或凭其他条款将货物交付给付款人,该行将没有提取货物的义务,其风险和责任仍由发货方承担。
b.Banks have no obligation to take any action in respect of the goods to which a documentary collection relates,including storage and insurance of the goods even when specific instructions are given to do so.Banks will only take such action if,when,and to the extent that they agree to do so in each case,notwithstanding the provisions of sub-article 1(c),this rule applies even in the absence of any specific advice to this effect by the collecting bank.
(2)银行对与跟单托收有关的货物即使接到特别批指示也没有义务采取任何行动包括对货物的仓储和保险,银行只有在个案中如果同意这样做时才会采取该类行动。撇开前述第一款(3)的规定,即使对此没有任何特别的通知,代收银行也适用本条款。
c.Nevertheless,in the case that banks take action for the protection of the goods,whether instructed or not,they assume no liability or responsibility with regard to the fate and/or condition of the goods and/or for any acts and/or omissions on the part of any third parties entrusted with the custody and/or protection of the goods.However,the collecting bank must advise without delay the bank from which the collection instruction was received of any such action taken.

d.Any charges and/or expensed incurred by banks in connection with any action taken to protect the goods will be for the account of the party from whom they received the collection.

e.i.Notwithstanding the provisions of sub-article 10(a),where the goods are consigned to or the order of the collecting bank and the drawee has honoured the collection by payment,acceptance or other terms and conditions,and the collecting bank arranges for the authorized the collecting bank to do so.
(5)①撇开第十款1条的规定,如果货物是以代收行作为收货人或抬头人,而且付款人已对该项托收办理了付款、承兑或承诺了其他条件和条款,代收行因此对货物的交付作了安排时,应认为寄单行已授权代收行如此办理。
ii.Where a collecting bank on the instructions of the remitting bank or in terms of sub-article 10(e)i,arranges for the release of the goods,the remitting bank shall indemnify such collecting bank for all damages and expenses incurred.
②若代收行按照寄单行的指示按上述第十款(5)①条的规定安排交付货物,寄单行应对该代收行所发行的全部损失和花销给予赔偿
Article 11 Disclaimer For Acts of an Instructed Party
第十一款 对被指示的免责
a.Banks utilizing the services of another bank or other banks for the purposes of giving effect to the instructions of the principal,do so for the account and at the risk of such principal.
(1)为使委托人的指示得以实现,银行使用另一银行或其他银行的服务是代该委托人办理的,因此,其风险由委托人承担。
b.Banks assume no liability or responsibility should the instructions they transmit not be carried out,even if they have themselves taken the initiative in the choice of such other bank(s).
(2)即使银行主动地选择了其他银行办理业务,如该行所转递的指示未被执行,该行不承担责任或对其负责。
c.A party instructing another party to perform services shall be bound by and liable to indemnify the instructed party against all obligations and responsibilities imposed by foreign laws and usages.
(3)一方指示另一方去履行服务,指示方应受到被指示方的法律和惯例所加于的一切义务和责任的制约,并承担赔偿的责任。
Article 12 Disclaimer on Documents Received
第十二款 对收到单据的免责
a.Bank must determine that the documents received appear to be as listed in the collection instruction and must advise by telecommunication or,if that is not possible,by other expeditious means,without delay,the party from whom the collection instruction was received of any documents missing,or found tbe other than listed.
Banks have no further obligation in this respect.
(1)银行必须确定它所收到的单据应与托收批示中所列表面相符,如果发现任何单据有短缺或非托收指示所列,银行必须以电讯方式,如电讯不可能时,以其他快捷的方式通知从其收到指示的一方,不得延误。

b.If the documents do not appear to be listed,the remitting bank shall be precluded from disputing the type and number of documents received by the collecting bank.

c.Subject to sub-article 5(c)and sub-article 12(a)and 12(b)above,banks will present documents as received without further examination.

Article 13 Disclaimer on Effectiveness of Documents
第十三款 对单据有效性的免责
Banks assume no liability or responsibility of the form,sufficiency,accuracy,genuineness,falsification or legal effect of any document(s)or superimposed thereon;nor do they assume any liability,condition,packing,delivery,value of existence of the goods represented by any document(s),or for the good faith or acts and/or omission,solvency,performance or standing of the consignors,the carriers,the forwarders,the consignees or the insurers of the goods,or any other person whomsoever.
银行对任何单据的格式、完整性、准确性、真实性、虚假性或其法律效力、或对在单据中载明或在其上附加的一般性和/或特殊性的条款不承担责任或对其负责;银行也不对任何单据所表示的货物的描述、数量、重量、质量、状况、包装、交货、价值或存在,或对货物的发运人、承运人、运输行、收货人和保险人或其他任何人的诚信或行为和/或疏忽、清偿力、业绩或信誉承担责任或对其负责。
Article 14 Disclaimer on Delays,Loss in Transit and Translation

a.Banks assume no liability or responsibility for the consequences arising out of delay and/or loss in transit of any message(s),letter(s)or document(s),or for delay,mutilation or other error(s)arising in transmission of any telecommunication or for error(s)in translation and/or interpretation of technical terms.
(1)银行对任何信息、信件或单据在传送中所发生的延误和/或损坏、或对任何电讯在传递中所发生的延误、残损或其他错误、或对技术条款的翻译和/或解释的错误不承担责任或对其负责。
b.Banks will not be liable or responsible for any delays resulting from the need to obtain clarification of any instructions received.
(2)银行对由于收到的任何指示需要澄清而引起的延误将不承担责任或对其负责。
Article 15 Force Majeure
第十五款 不可抗力
Banks assume no liability or responsibility for consequence arising out of the interruption of their business by Acts of God,riots,civil commotions,insurrections,wars,or any other causes beyond their control or by strikes or lockouts.
银行对由于天灾、暴动、骚乱、战争或银行本身不能控制的任何其他原因、任何罢工或停工而使银行营业中断所产生的后果不承担责任或对其负责。
E.Payment

Article 16 Payment Without Delay
第十六款 立即汇付
a.Amounts collected(less charges and/or disbursements and/or expenses where applicable)must be made available without delay to the party from whom the collection instruction was received in accordance with the terms and conditions of the collection instruction.
(1)收妥的款项(扣除手续费和/或支出和/或可能的花销)必须按照托收指示中规定的条件和条款不延误地付给从其收到托收指示的一方,不得延误。
b.Notwithstanding the provisions of sub-article 1(c)and unless otherwise agreed,the collecting bank will effect payment of the amounts collected in favour of the remitting bank only.
(2)撇开第一款(3)的规定和除非另有指示,代收行仅向寄单行汇付收妥的款项。
Article 17 Payment in Local Currency
第十七款 以当地货币支付
In the case of documents payable in the currency of the country of payment(local currency),the presenting bank must,unless otherwise instructed in the collection instruction,release the documents to the drawee against payment in local currency only if such currency is immediately available for disposal in the manner specified in the collection instruction.
如果单据是以付款地国家的货币(当地货币)付款,除托收指示另有规定外,提示行必须凭当地货币的付款,交单给付款人,只要该种货币按托收指示规定的方式能够随时处理。
Article 18 Payment in Foreign Currency
第十八款 用外汇付款
In the case of documents payable in a currency other than of the country of payment(foreign currency),the presenting bank must,unless otherwise instructed in the collection instruction,release the documents to the drawee against payment in the designed foreign currency only if such foreign currency can immediately remitted in accordance with the instructions given in the collection instruction.
如果单据是以付款地国家以外的货币(外汇)付款,除托收指示中另用规定外,提示行必须凭指定的外汇付款,交单给付款人,只要该外汇是按托收指示规定能够立即汇出。
Article 19 Partial Payments
第十九款 分期付款
a.In respect of clean collections,partial payments may be accepted if and to the extent to which and on the conditions on which partial payments are authorized by the law in force in the place of payment.The financial document(s)will be released to the drawee only when full payment thereof has been received.
(1)在光票托收中可以接受分期付款,前提是分批的金额和条件是付款当地的现行法律所允许。只有在全部货款已收妥的情况下,才能将金融单据交付给付款人。
b.In respect of documentary collection,partial payments will only be accepted if specifically authorized in the collection instruction.However,unless otherwise instructed,the presenting bank will release the documents to the drawee only after full payment has been received,and the presenting bank will not be responsible for any consequence arising out of any delay in the delivery of documents.
(2)在跟单托收中,只有在托收指示有特别授权的情况下,才能接受分期付款。然而,除非另有指示,提示行只能在全部货款已收妥后才能将单据交付给付款人。
c.In all cases partial payments will be accepted only subject to compliance with the provisions of either Article 17 or Article 18 as appropriate.Partial payment,if accepted,will be dealt with in accordance with the provisions of Article 16.

Article 20 Interest

a.If the collection instruction specifies that interest is to be collected and the drawee refuses to pay such interest,the presenting bank may deliver the document(s)against payment of acceptance or on other terms and conditions as the case may be,without collecting such interest,unless sub-article 20(c)applies.
(1)如果托收指示中规定必须收取利息,但付款人拒付该项利息时,提示行可根据具体情况在不收取利息的情况下凭付款或承兑或其他条款和条件交单,除非适用第二十款(3)条。
b.Where such interest is to be collected,the collection instruction must specify the rate of interest,interest period and basis of calculation.

c.Where the collection instruction expressly states that interest may not be waived and the drawee refuses to pay such interest the presenting bank will not deliver document and will not be responsible for any consequences arising out of any delay in the delivery of document(s).When payment of interest has been refused,the presenting bank must inform by telecommunication or,if that is not possible,by other expeditious means without delay the bank from which the collection instruction was received.

Article 21 Charges and Expenses
第二十一款 手续费和费用
a.If the collection instruction specifies that collection charges and/or expenses are to be of account of the drawee and the drawee refuses to pay them,the presenting bank may deliver the document(s)against payment or acceptance or on other terms and conditions as the case may be,without collecting charges and/or expenses,unless sub-article 21(b)applies.
Whenever collection charges and/or expenses are so waived they will be for the account of the party from whom the collection was received and may be deducted from the proceeds.
(1)如果托收指示中规定必须收取手续费和(或)费用须由付款人承担,而后者拒付时,提示行可以根据具体情况在不收取手续费和(或)费用的情况下凭付款或承兑或其他条款和条件交单,除非适用第二十一款(2)条。

b.Where the collection instruction expressly states that charges and/or expenses may not be waived and the drawee refuses to pay such charges and/or expenses,the presenting bank will not deliver documents and will not be responsible for any consequence arising out of any delay in the delivery of the document(s).When payment of collection charges and/or expenses has been refused the presenting bank must inform by telecommunication or,if that is not possible,by other expeditious means without delay the bank from which the collection instruction was received.
(2)如果托收指示中明确指明手续费和(或)费用不得放弃而付款人又拒付该项费用时,提示行将不交单,并对由此所引起的延误所产生的后果将不承担责任。当该项费用已被拒付时,提示行必须以电讯或用其他便捷的方式通知曾向其发出托收指示的银行,不得延误。
c.In all cases where in the express terms of a collection instruction or under these Rules,disbursements and/or expenses and/or collection charges are to be borne by the principal,the collecting bank(s)shall be entitled to recover promptly outlays in respect of disbursements,expenses and charges from the bank form which the collection instruction was received,and the remitting bank shall be entitled to recover promptly from the principal any amount so paid out by it,together with its own disbursements,expenses and charges,regardless of the fate of the collection.
(3)在任何情况下,若托收指示中清楚地规定或根据本规则,支付款项和(或)费用和(或)托收手续费应由委托人承担,代收行应有权从向其发出托收指示的银行立即收回所支出的有关支付款、费用和手续费,而寄单行不管该托收结果如何应有权向委托人立即收回它所付出的任何金额连同它自己的支付款、费用和手续费。
d.Banks reserve the right to demand payment of charges and/or expenses in advance from the party from whom the collection instruction was received,to cover costs in attempting to carry out any instructions,and pending receipt of such payment also reserve the right not to carry out such instructions.
(4)银行对向其发出托收指示的一方保留要求事先支付手续费和(或)费用用以补偿其拟执行任何指示的费用支出的权利,在未收到该项款项期间有保留不执行该项指示的权利。

Article 22 Acceptance
第二十二款 承兑
The presenting bank is responsible for seeing that the form of the acceptance of a bill of exchange appears to be complete and correct,but is not responsible for the genuineness of any signature or for the authority of any signatory to sign the acceptance.
提示行有责任注意汇票承兑形式看来是完整和正确的,但是,对任何签字的真实性或签署承兑的任何签字人的权限不负责任。
Article 23 Promissory Notes and Other Instructions
第二十三款 本票和其他凭证
The presenting bank is not responsible for the genuineness of any signature or for the authority of any signature to sign a promissory note,receipt,or other instruments.

The collection instruction should give specific instructions regarding protest(or other legal process in lieu thereof),in the event of non-payment or non-acceptance.
In the absence of such specific instructions,the banks concerned with the collection have no obligation to have the document(s)protested(or subjected to other legal process in lieu thereof)for non-payment or non-acceptance.
Any charges and/or expenses incurred by banks in connection with such protest,or other legal process,will be for the account of the party from whom the collection instruction was received.
托收指示对当发生不付款或不承兑时的有关拒绝证书应有具体的指示(或代之以其他法律程序)。
在没有这种明确提示的情况下,与托收有关的银行(或接受其他法律程序替代)拒付或承兑单据。

Article 25 Case-of-Need

If the principal nominates a representative to act as case-of-need in the event of non-payment and/or non-acceptance the collection instruction should clearly and fully indicate the powers of such case-of-need.In the absence of such indication banks will not accept any instructions from the case-of-need.
如果委托人指定一名代表作为在发生不付款和(或)不承兑时的预备人,托收指示中应清楚、详尽地指明该预备人的权限。在无该项指示时,银行将不接受来自预备人的任何指示。
Article 26 Advices
第二十六款 通知
Collecting banks are to advise fate in accordance with the following rules:

a.Form of Advise
(1)通知格式
All advices of information from the collecting bank to the bank from which the collection instruction was received,must bear appropriate details including,in all cases,the latter bank's reference as stated in the collection instruction.
代收行对向其发出托收指示的银行给予所有通知和信息必须要有相应的详情,在任何情况下都应包括后者在托收指示中列明的银行业务编号。
b.Method of Advice
(2)通知的方法
It shall be the responsibility of the remitting bank to instruct the collecting bank regarding the method by which the advices detailed in(c)i,(c)ii and(c)iii are to be given.In the absence of such instructions,the collecting bank will send the relative advices by the method of its choice at the expense of the bank from which the collection instruction was received.
寄单行有责任就通知的方法向代收行给予指示,详见本款(3)①、(3)②和(3)③的内容。在无该项指示时,代收行将自行选择通知方法寄送有关的通知,而其费用应由向其发出托收指示的银行承担。
c.i.Advice of Payment

The collecting bank must send without delay advice of payment to the bank from which the collection instruction was received,detailing the amount or amounts collected,charges and/or disbursements and/or expenses deducted,where appropriate,and method of disposal of the funds.
代收行必须无延误地对向其发出托收指示的银行寄送付款通知,列明金额或收妥金额、扣减的手续费和(或)支付款和(或)费用额以及资金的处理方式。
ii.Advice of Acceptance

The collecting bank must send without delay advice of acceptance to the bank from which the collection instruction was received.
代收行必须无延误地对向其发出托收指示的银行寄送承兑通知。
iii.Advice of Non-payment and/or Non-acceptance
③不付款或不承兑的通知
The presenting bank should endeavour to ascertain the reasons for non-payment and/or nonacceptance and advise accordingly,without delay,the bank from which it received the collection instruction.
The presenting bank must send without delay advice of non-payment and/or advice of nonacceptance to the bank form which it received the collection instruction.On receipt of such advice the remitting bank must give appropriate instructions as to the further handling of the documents.If such instructions are not received by the presenting bank within 60 days after its advice of nonpayment and/or non-acceptance,the documents may be returned to the bank from which the collection instruction was received without any further responsibility on the part of the presenting bank.
提示行应尽力查明不付款或不承兑的原因,并据以向对其发出托收指示的银行无延误地寄送通知。

Article 1 Application of UCP

The Uniform Customs and Practice for Documentary Credits,2007 Revision,ICC Publication no.600(“UCP”)are rules that apply to any documentary credit(“credit”)(including,to the extent to which they may be applicable,any standby letter of credit)when the text of the credit expressly indicates that it is subject to these rules.They are binding on all parties thereto unless expressly modified or excluded by the credit.

Article 2 Definitions

For the purpose of these rules:

Advising bank means the bank that advises the credit at the request of the issuing bank.

Applicant means the party on whose request the credit is issued.

Banking day means a day on which a bank is regularly open at the place at which an act subject to these rules is to be performed.

Beneficiary means the party in whose favour a credit is issued.

Complying presentation means a presentation that is in accordance with the terms and conditions of the credit,the applicable provisions of these rules and international standard banking practice.

Confirmation means a definite undertaking of the confirming bank,in addition to that of the issuing bank,to honour or negotiate a complying presentation.

Confirming bank means the bank that adds its confirmation to a credit upon the issuing bank's authorization or request.

Credit means any arrangement,however named or described,that is irrevocable and thereby constitutes a definite undertaking of the issuing bank to honour a complying presentation.

Honour means:
a.to pay at sight if the credit is available by sight payment.

Issuing bank means the bank that issues a credit at the request of an applicant or on its own behalf.

Negotiation means the purchase by the nominated bank of drafts(drawn on a bank other than the nominated bank)and/or documents under a complying presentation,by advancing or agreeing to advance funds to the beneficiary on or before the banking day on which reimbursement is due to(to be paid the nominated bank.
议付意指被指定银行在其应获得偿付的银行日或在此之前,通过向受益人预付或者同意向受益人预付款项的方式购买相符提示项下的汇票(汇票付款人为被指定银行以外的银行)及/或单据。
Nominated bank means the bank with which the credit is available or any bank in the case of a credit available with any bank.

Presentation means either the delivery of documents under a credit to the issuing bank or nominated bank or the documents so delivered.

Article 3 Interpretations

For the purpose of these rules:

Where applicable,words in the singular include the plural and in the plural include the singular.

A credit is irrevocable even if there is no indication to that effect.

A document may be signed by handwriting,facsimile signature,perforated signature,stamp,symbol or any other mechanical or electronic method of authentication.

A requirement for a document to be legalized,visaed,certified or similar will be satisfied by any signature,mark,stamp or label on the document which appears to satisfy that requirement.

Branches of a bank in different countries are considered to be separate banks.

Terms such as“first class”“well known”“qualified”“independent”“official”“competent”or“local”used to describe the issuer of a document allow any issuer except the beneficiary to issue that document.
诸如“第一流”“著名”“合格”“独立”“正式”“有资格”“当地”等用语用于描述单据出单人的身份时,单据的出单人可以是除受益人以外的任何人。
Unless required to be used in a document,words such as“prompt”“immediately”or“as soon as possible”will be disregarded.

The expression“on or about”or similar will be interpreted as a stipulation that an event is to occur during a period of five calendar days before until five calendar days after the specified date,both start and end dates included.

The words“to”“until”“till”“from”and“between”when used to determine a period of shipment include the date or dates mentioned,and the words“before”and“after”exclude the date mentioned.

Article 4 Credits v.Contracts
第四条 信用证与合同
a.A credit by its nature is a separate transaction from the sale or other contract on which it may be based.Banks are in no way concerned with or bound by such contract,even if any reference whatsoever to it is included in the credit.Consequently,the undertaking of a bank to honour,to negotiate or to fulfil any other obligation under the credit is not subject to claims or defences by the applicant resulting from its relationships with the issuing bank or the beneficiary.
A beneficiary can in no case avail itself of the contractual relationships existing between banks or between the applicant and the issuing bank.
a.就性质而言,信用证与可能作为其依据的销售合同或其他合同,是相互独立的交易。即使信用证中提及该合同,银行亦与该合同完全无关,且不受其约束。因此,一家银行作出兑付、议付或履行信用证项下其他义务的承诺,并不受申请人与开证行之间或与受益人之间在已有关系下产生的索偿或抗辩的制约。

b.An issuing bank should discourage any attempt by the applicant to include,as an integral part of the credit,copies of the underlying contract,proforma invoice and the like.

Article 5 Documents v.Goods,Services or Performance
第五条 单据与货物/服务/行为
Banks deal with documents and not with goods,services or performance to which the documents may relate.
银行处理的是单据,而不是单据所涉及的货物、服务或其他行为。
Article 6 Availability,Expiry Date and Place for Presentation
第六条 有效性、有效期限及提示地点
a.A credit must state the bank with which it is available or whether it is available with any bank.A credit available with a nominated bank is also available with the issuing bank.
a.信用证必须规定可以有效使用信用证的银行,或者信用证是否对任何银行均为有效。对于被指定银行有效的信用证同样也对开证行有效。
b.A credit must state whether it is available by sight payment,deferred payment,acceptance or negotiation.

c.A credit must not be issued available by a draft drawn on the applicant.

Article 7 Issuing Bank Undertaking
第七条 开证行的承诺
a.Provided that the stipulated documents are presented to the nominated bank or to the issuing bank and that they constitute a complying presentation,the issuing bank must honour if the credit is available by:
a.倘若规定的单据被提交至被指定银行或开证行并构成相符提示,开证行必须按下述信用证所适用的情形予以兑付:
i.sight payment,deferred payment or acceptance with the issuing bank;
i.由开证行即期付款、延期付款或者承兑;
ii.sight payment with a nominated bank and that nominated bank does not pay;
ii.由被指定银行即期付款而该被指定银行未予付款;
iii.deferred payment with a nominated bank and that nominated bank does not incur its deferred payment undertaking or,having incurred its deferred payment undertaking,does not pay at maturity;
iii.由被指定银行延期付款而该被指定银行未承担其延期付款承诺,或者虽已承担延期付款承诺但到期未予付款;
iv.acceptance with a nominated bank and that nominated bank does not accept a draft drawn on it or,having accepted a draft drawn on it,does not pay at maturity;
iv.由被指定银行承兑而该被指定银行未予承兑以其为付款人的汇票,或者虽已承兑以其为付款人的汇票但到期未予付款;
v.negotiation with a nominated bank and that nominated bank does not negotiate.
v.由被指定银行议付而该被指定银行未予议付。
b.An issuing bank is irrevocably bound to honour as of the time it issues the credit.

c.An issuing bank undertakes to reimburse a nominated bank that has honoured or negotiated a complying presentation and forwarded the documents to the issuing bank.Reimbursement for the amount of a complying presentation under a credit available by acceptance or deferred payment is due at maturity,whether or not the nominated bank prepaid or purchased before maturity.An issuing bank's undertaking to reimburse a nominated bank is independent of the issuing bank's undertaking to the beneficiary.
c.开证行保证向对于相符提示已经予以兑付或者议付并将单据寄往开证行的被指定银行进行偿付。无论被指定银行是否于到期日前已经对相符提示予以预付或者购买,对于承兑或延期付款信用证项下相符提示的金额的偿付于到期日进行。开证行偿付被指定银行的承诺独立于开证行对于受益人的承诺。
Article 8 Confirming Bank Undertaking
第八条 保兑行的承诺
a.Provided that the stipulated documents are presented to the confirming bank or to any other nominated bank and that they constitute a complying presentation,the confirming bank must:
a.倘若规定的单据被提交至保兑行或者任何其他被指定银行并构成相符提示,保兑行必须:
i.honour,if the credit is available by:
i.兑付,如果信用证适用于:
a.sight payment,deferred payment or acceptance with the confirming bank;

b.sight payment with another nominated bank and that nominated bank does not pay;

e.negotiation with another nominated bank and that nominated bank does not negotiate.

ii.negotiate,without recourse,if the credit is available by negotiation with the confirming bank.

b.A confirming bank is irrevocably bound to honour or negotiate as of the time it adds its confirmation to the credit.

c.A confirming bank undertakes to reimburse another nominated bank that has honoured or negotiated a complying presentation and forwarded the documents to the confirming bank.Reimbursement for the amount of a complying presentation under a credit available by acceptance or deferred payment is due at maturity,whether or not another nominated bank prepaid or purchased before maturity.A confirming bank's undertaking to reimburse another nominated bank is independent of the confirming bank's undertaking to the beneficiary.
c.保兑行保证向对于相符提示已经予以兑付或者议付并将单据寄往开证行的另一家被指定银行进行偿付。无论另一家被指定银行是否于到期日前已经对相符提示予以预付或者购买,对于承兑或延期付款信用证项下相符提示的金额的偿付于到期日进行。保兑行偿付另一家被指定银行的承诺独立于保兑行对于受益人的承诺。
d.If a bank is authorized or requested by the issuing bank to confirm a credit but is not prepared to do so,it must inform the issuing bank without delay and may advise the credit without confirmation.

Article 9 Advising of Credits and Amendments

a.A credit and any amendment may be advised to a beneficiary through an advising bank.An advising bank that is not a confirming bank advises the credit and any amendment without any undertaking to honour or negotiate.
a.信用证及其修改可以通过通知行通知受益人。除非已对信用证加具保兑,通知行通知信用证不构成兑付或议付的承诺。
b.By advising the credit or amendment,the advising bank signifies that it has satisfied itself as to the apparent authenticity of the credit or amendment and that the advice accurately reflects the terms and conditions of the credit or amendment received.

Article 10 Amendments
第十条 修改
a.Except as otherwise provided by article 38,a credit can neither be amended nor cancelled without the agreement of the issuing bank,the confirming bank,if any,and the beneficiary.
a.除本惯例第38条另有规定外,凡未经开证行、保兑行(如有)以及受益人同意,信用证既不能修改也不能撤销。
b.An issuing bank is irrevocably bound by an amendment as of the time it issues the amendment.A confirming bank may extend its confirmation to an amendment and will be irrevocably bound as of the time it advises the amendment.A confirming bank may,however,choose to advise an amendment without extending its confirmation and,if so,it must inform the issuing bank without delay and inform the beneficiary in its advice.

c.The terms and conditions of the original credit(or a credit incorporating previously accepted amendments)will remain in force for the beneficiary until the beneficiary communicates its acceptance of the amendment to the bank that advised such amendment.The beneficiary should give notification of acceptance or rejection of an amendment.If the beneficiary fails to give such notification,a presentation that complies with the credit and to any not yet accepted amendment will be deemed to be notification of acceptance by the beneficiary of such amendment.As of that moment the credit will be amended.
c.在受益人告知通知修改的银行其接受该修改之前,原信用证(或含有先前被接受的修改的信用证)的条款对受益人仍然有效。受益人应提供接受或拒绝修改的通知。如果受益人未能给予通知,当交单与信用证以及尚未表示接受的修改的要求一致时,即视为受益人已作出接受修改的通知,并且从此时起,该信用证被修改。
Article 11 Teletransmitted and Pre-Advised Credits and Amendments
第十一条 电讯传递与预先通知的信用证和修改
a.An authenticated teletransmission of a credit or amendment will be deemed to be the operative credit or amendment,and any subsequent mail confirmation shall be disregarded.
If a teletransmission states“full details to follow”(or words of similar effect),or states that the mail confirmation is to be the operative credit or amendment,then the teletransmission will not be deemed to be the operative credit or amendment.The issuing bank must then issue the operative credit or amendment without delay in terms not inconsistent with the teletransmission.

b.A preliminary advice of the issuance of a credit or amendment(“pre-advice”)shall only be sent if the issuing bank is prepared to issue the operative credit or amendment.An issuing bank that sends a pre-advice is irrevocably committed to issue the operative credit or amendment,without delay,in terms not inconsistent with the pre-advice.

Article 12 Nomination
第十二条 指定
a.Unless a nominated bank is the confirming bank,an authorization to honour or negotiate does not impose any obligation on that nominated bank to honour or negotiate,except when expressly agreed to by that nominated bank and so communicated to the beneficiary.
a.除非一家被指定银行是保兑行,对被指定银行进行兑付或议付的授权并不构成其必须兑付或议付的义务,被指定银行明确同意并照此通知受益人的情形除外。
b.By nominating a bank to accept a draft or incur a deferred payment undertaking,an issuing bank authorizes that nominated bank to prepay or purchase a draft accepted or a deferred payment undertaking incurred by that nominated bank.
b.通过指定一家银行承兑汇票或承担延期付款承诺,开证行即授权该被指定银行预付或购买经其承兑的汇票或由其承担延期付款的承诺。
c.Receipt or examination and forwarding of documents by a nominated bank that is not a confirming bank does not make that nominated bank liable to honour or negotiate,nor does it constitute honour or negotiation.
c.非保兑行身份的被指定银行接受、审核并寄送单据的行为既不使得该被指定银行具有兑付或议付的义务,也不构成兑付或议付。
Article 13 Bank-to-Bank Reimbursement Arrangements
第十三条 银行间偿付约定
a.If a credit states that reimbursement is to be obtained by a nominated bank(“claiming bank”)claiming on another party(“reimbursing bank”),the credit must state if the reimbursement is subject to the ICC rules for bank-to-bank reimbursements in effect on the date of issuance of the credit.
a.如果信用证规定被指定银行(“索偿行”)须通过向另一方银行(“偿付行”)索偿获得偿付,则信用证中必须声明是否按照信用证开立日正在生效的国际商会《银行间偿付规则》办理。
b.If a credit does not state that reimbursement is subject to the ICC rules for bank-to-bank reimbursements,the following apply:

i.An issuing bank must provide a reimbursing bank with a reimbursement authorization that conforms to the availability stated in the credit.The reimbursement authorization should not be subject to an expiry date.

ii.A claiming bank shall not be required to supply a reimbursing bank with a certificate of compliance with the terms and conditions of the credit.

iii.An issuing bank will be responsible for any loss of interest,together with any expenses incurred,if reimbursement is not provided on first demand by a reimbursing bank in accordance with the terms and conditions of the credit.

iv.A reimbursing bank's charges are for the account of the issuing bank.However,if the charges are for the account of the beneficiary,it is the responsibility of an issuing bank to so indicate in the credit and in the reimbursement authorization.If a reimbursing bank's charges are for the account of the beneficiary,they shall be deducted from the amount due to a claiming bank when reimbursement is made.If no reimbursement is made,the reimbursing bank's charges remain the obligation of the issuing bank.

c.An issuing bank is not relieved of any of its obligations to provide reimbursement if reimbursement is not made by a reimbursing bank on first demand.

Article 14 Standard for Examination of Documents
第十四条 审核单据的标准
a.A nominated bank acting on its nomination,a confirming bank,if any,and the issuing bank must examine a presentation to determine,on the basis of the documents alone,whether or not the documents appear on their face to constitute a complying presentation.
a.按照指定行事的被指定银行、保兑行(如有)以及开证行必须对提示的单据进行审核,并仅以单据为基础,以决定单据在表面上看来是否构成相符提示。
b.A nominated bank acting on its nomination,a confirming bank,if any,and the issuing bank shall each have a maximum of five banking days following the day of presentation to determine if a presentation is complying.This period is not curtailed or otherwise affected by the occurrence on or after the date of presentation of any expiry date or last day for presentation.

c.A presentation including one or more original transport documents subject to Articles 19,20,21,22,23,24 or 25 must be made by or on behalf of the beneficiary not later than 21 calendar days after the date of shipment as described in these rules,but in any event not later than the expiry date of the credit.

d.Data in a document,when read in context with the credit,the document itself and international standard banking practice,need not be identical to,but must not conflict with,data in that document,any other stipulated document or the credit.

e.In documents other than the commercial invoice,the description of the goods,services or performance,if stated,may be in general terms not conflicting with their description in the credit.

f.If a credit requires presentation of a document other than a transport document,insurance document or commercial invoice,without stipulating by whom the document is to be issued or its data content,banks will accept the document as presented if its content appears to fulfil the function of the required document and otherwise complies with sub-article 14(d).

g.A document presented but not required by the credit will be disregarded and may be returned to the presenter.

h.If a credit contains a condition without stipulating the document to indicate compliance with the condition,banks will deem such condition as not stated and will disregard it.

i.A document may be dated prior to the issuance date of the credit,but must not be dated later than its date of presentation.

j.When the addresses of the beneficiary and the applicant appear in any stipulated document,they need not be the same as those stated in the credit or in any other stipulated document,but must be within the same country as the respective addresses mentioned in the credit.Contact details(telefax,telephone,email and the like)stated as part of the beneficiary's and the applicant's address will be disregarded.However,when the address and contact details of the applicant appear as part of the consignee or notify party details on a transport document subject to articles 19,20,21,22,23,24 or 25,they must be as stated in the credit.

k.The shipper or consignor of the goods indicated on any document need not be the beneficiary of the credit.

l.A transport document may be issued by any party other than a carrier,owner,master or charterer provided that the transport document meets the requirements of articles 19,20,21,22,23 or 24 of these rules.

Article 15 Complying Presentation
第十五条 相符提示
a.When an issuing bank determines that a presentation is complying,it must honour.

b.When a confirming bank determines that a presentation is complying,it must honour or negotiate and forward the documents to the issuing bank.

c.When a nominated bank determines that a presentation is complying and honours or negotiates,it must forward the documents to the confirming bank or issuing bank.

Article 16 Discrepant Documents,Waiver and Notice
第十六条 不符单据及不符点的放弃与通知
a.When a nominated bank acting on its nomination,a confirming bank,if any,or the issuing bank determines that a presentation does not comply,it may refuse to honour or negotiate.
a.当按照指定行事的被指定银行、保兑行(如有)或开证行确定提示不符时,可以拒绝兑付或议付。
b.When an issuing bank determines that a presentation does not comply,it may in its sole judgement approach the applicant for a waiver of the discrepancies.This does not,however,extend the period mentioned in sub-article 14(b).
b.当开证行确定提示不符时,可以依据其独立的判断联系申请人放弃有关不符点。然而,这并不因此延长14条(b)款中述及的期限。
c.When a nominated bank acting on its nomination,a confirming bank,if any,or the issuing bank decides to refuse to honour or negotiate,it must give a single notice to that effect to the presenter.

The notice must state:

i.that the bank is refusing to honour or negotiate;and

iii.a)that the bank is holding the documents pending further instructions from the presenter;or

b)that the issuing bank is holding the documents until it receives a waiver from the applicant and agrees to accept it,or receives further instructions from the presenter prior to agreeing to accept a waiver;or

c)that the bank is returning the documents;or

d)that the bank is acting in accordance with instructions previously received from the presenter.

d.The notice required in sub-article 16(c)must be given by telecommunication or,if that is not possible,by other expeditious means no later than the close of the fifth banking day following the day of presentation.

f.If an issuing bank or a confirming bank fails to act in accordance with the provisions of this article,it shall be precluded from claiming that the documents do not constitute a complying presentation.

g.When an issuing bank refuses to honour or a confirming bank refuses to honour or negotiate and has given notice to that effect in accordance with this article,it shall then be entitled to claim a refund,with interest,of any reimbursement made.

Article 17 Original Documents and Copies
第十七条 正本单据和副本单据
a.At least one original of each document stipulated in the credit must be presented.

b.A bank shall treat as an original any document bearing an apparently original signature,mark,stamp,or label of the issuer of the document,unless the document itself indicates that it is not an original.

c.Unless a document indicates otherwise,a bank will also accept a document as original if it:

e.If a credit requires presentation of multiple documents by using terms such as“in duplicate”“in two fold”or“in two copies”,this will be satisfied by the presentation of at least one original and the remaining number in copies,except when the document itself indicates otherwise.

Article 18 Commercial Invoice

a.A commercial invoice:

i.must appear to have been issued by the beneficiary(except as provided in article 38);

ii.must be made out in the name of the applicant(except as provided in sub-article 38(g));

b.A nominated bank acting on its nomination,a confirming bank,if any,or the issuing bank may accept a commercial invoice issued for an amount in excess of the amount permitted by the credit,and its decision will be binding upon all parties,provided the bank in question has not honoured or negotiated for an amount in excess of that permitted by the credit.

Article 19 Transport Document Covering at Least Two Different Modes of Transport

a.A transport document covering at least two different modes of transport(multimodal or combined transport document),however named,must appear to:

i.indicate the name of the carrier and be signed by:

The date of issuance of the transport document will be deemed to be the date of dispatch,taking in charge or shipped on board,and the date of shipment.However,if the transport document indicates,by stamp or notation,a date of dispatch,taking in charge or shipped on board,this date will be deemed to be the date of shipment.

iii.indicate the place of dispatch,taking in charge or shipment and the place of final destination stated in the credit,even if:

b.For the purpose of this article,transhipment means unloading from one means of conveyance and reloading to another means of conveyance(whether or not in different modes of transport)during the carriage from the place of dispatch,taking in charge or shipment to the place of final destination stated in the credit.

c.i.A transport document may indicate that the goods will or may be transhipped provided that the entire carriage is covered by one and the same transport document.

a.A bill of lading,however named,must appear to:

The date of issuance of the bill of lading will be deemed to be the date of shipment unless the bill of lading contains an on board notation indicating the date of shipment,in which case the date stated in the on board notation will be deemed to be the date of shipment.

If the bill of lading contains the indication“intended vessel”or similar qualification in relation to the name of the vessel,an on board notation indicating the date of shipment and the name of the actual vessel is required.

If the bill of lading does not indicate the port of loading stated in the credit as the port of loading,or if it contains the indication“intended”or similar qualification in relation to the port of loading,an on board notation indicating the port of loading as stated in the credit,the date of shipment and the name of the vessel is required.This provision applies even when loading on board or shipment on a named vessel is indicated by pre-printed wording on the bill of lading.

The date of issuance of the non-negotiable sea waybill will be deemed to be the date of shipment unless the non-negotiable sea waybill contains an on board notation indicating the date of shipment,in which case the date stated in the on board notation will be deemed to be the date of shipment.

If the non-negotiable sea waybill contains the indication“intended vessel”or similar qualification in relation to the name of the vessel,an on board notation indicating the date of shipment and the name of the actual vessel is required.

iii.indicate shipment from the port of loading to the port of discharge stated in the credit.

If the non-negotiable sea waybill does not indicate the port of loading stated in the credit as the port of loading,or if it contains the indication“intended”or similar qualification in relation to the port of loading,an on board notation indicating the port of loading as stated in the credit,the date of shipment and the name of the vessel is required.This provision applies even when loading on board or shipment on a named vessel is indicated by pre-printed wording on the non-negotiable sea waybill.

Article 22 Charter Party Bill of Lading

Article 23 Air Transport Document

a.An air transport document,however named,must appear to:

Any other information appearing on the air transport document relative to the flight number and date will not be considered in determining the date of shipment.

iv.indicate the airport of departure and the airport of destination stated in the credit.

Article 24 Road,Rail or Inland Waterway Transport Documents

If a rail transport document does not identify the carrier,any signature or stamp of the railway company will be accepted as evidence of the document being signed by the carrier.

ii.indicate the date of shipment or the date the goods have been received for shipment,dispatch or carriage at the place stated in the credit.Unless the transport document contains a dated reception,stamp,an indication of the date of receipt or a date of shipment,the date of issuance of the transport document will be deemed to be the date of shipment.

e.i.A road,rail or inland waterway transport document may indicate that the goods will or may be transhipped provided that the entire carriage is covered by one and the same transport document.

ii.A road,rail or inland waterway transport document indicating that transhipment will or may take place is acceptable,even if the credit prohibits transhipment.

Article 25 Courier Receipt,Post Receipt or Certificate of Posting
第二十五条 快递收据、邮政收据或投邮证明
a.A courier receipt,however named,evidencing receipt of goods for transport,must appear to:

i.indicate the name of the courier service and be stamped or signed by the named courier service at the place from which the credit states the goods are to be shipped;and

ii.indicate a date of pick-up or of receipt or wording to this effect.This date will be deemed to be the date of shipment.

b.A requirement that courier charges are to be paid or prepaid may be satisfied by a transport document issued by a courier service evidencing that courier charges are for the account of a party other than the consignee.

Article 26 “On Deck”“Shipper's Load and Count”“Said by Shipper to Contain”and Charges Additional to Freight

a.A transport document must not indicate that the goods are or will be loaded on deck.A clause on a transport document stating that the goods may be loaded on deck is acceptable.

b.A transport document bearing a clause such as“shipper's load and count”and“said by shipper to contain”is acceptable.

Article 27 Clean Transport Document

A bank will only accept a clean transport document.A clean transport document is one bearing no clause or notation expressly declaring a defective condition of the goods or their packaging.The word“clean”need not appear on a transport document,even if a credit has a requirement for that transport document to be“clean on board”.
银行只接受清洁运输单据。清洁运输单据指未载有明确宣称货物或包装有缺陷的条款或批注的运输单据。“清洁”一词并不需要在运输单据上出现,即使信用证要求运输单据为“清洁已装船”的。
Article 28 Insurance Document and Coverage
第二十八条 保险单据及保险范围
a.An insurance document,such as an insurance policy,an insurance certificate or a declaration under an open cover,must appear to be issued and signed by an insurance company,an underwriter or their agents or their proxies.
a.保险单据,例如保险单或预约保险项下的保险证明书或者声明书,必须看似由保险公司或承保人或其代理人或代表出具并签署。
Any signature by an agent or proxy must indicate whether the agent or proxy has signed for or on behalf of the insurance company or underwriter.

b.When the insurance document indicates that it has been issued in more than one original,all originals must be presented.

c.Cover notes will not be accepted.

d.An insurance policy is acceptable in lieu of an insurance certificate or a declaration under an open cover.

e.The date of the insurance document must be no later than the date of shipment,unless it appears from the insurance document that the cover is effective from a date not later than the date of shipment.

f.i.The insurance document must indicate the amount of insurance coverage and be in the same currency as the credit.

ii.A requirement in the credit for insurance coverage to be for a percentage of the value of the goods,of the invoice value or similar is deemed to be the minimum amount of coverage required.

If there is no indication in the credit of the insurance coverage required,the amount of insurance coverage must be at least 110% of the CIF or CIP value of the goods.

When the CIF or CIP value cannot be determined from the documents,the amount of insurance coverage must be calculated on the basis of the amount for which honour or negotiation is requested or the gross value of the goods as shown on the invoice,whichever is greater.
如果从单据中不能确定CIF或者CIP价格,投保金额必须基于要求承付或议付的金额,或者基于发票上显示的货物总值来计算,两者之中取金额较高者。
iii.The insurance document must indicate that risks are covered at least between the place of taking in charge or shipment and the place of discharge or final destination as stated in the credit.
iii.保险单据须标明承包的风险区间至少涵盖从信用证规定的货物监管地或发运地开始到卸货地或最终目的地为止。
g.A credit should state the type of insurance required and,if any,the additional risks to be covered.An insurance document will be accepted without regard to any risks that are not covered if the credit uses imprecise terms such as“usual risks”or“customary risks”.
g.信用证应规定所需投保的险别及附加险(如有的话)。如果信用证使用诸如“通常风险”或“惯常风险”等含义不确切的用语,则无论是否有漏保之风险,保险单据将被照样接受。
h.When a credit requires insurance against“all risks”and an insurance document is presented containing any“all risks”notation or clause,whether or not bearing the heading“all risks”,the insurance document will be accepted without regard to any risks stated to be excluded.

i.An insurance document may contain reference to any exclusion clause.

Article 29 Extension of Expiry Date or Last Day for Presentation
第二十九条 截止日或最迟交单日的顺延
a.If the expiry date of a credit or the last day for presentation falls on a day when the bank to which presentation is to be made is closed for reasons other than those referred to in article 36,the expiry date or the last day for presentation,as the case may be,will be extended to the first following banking day.
a.如果信用证的截止日或最迟交单日适逢接受交单的银行非因第三十六条所述原因而歇业,则截止日或最迟交单日,视何者适用,将顺延至其重新开业的第一个银行工作日。
b.If presentation is made on the first following banking day,a nominated bank must provide the issuing bank or confirming bank with a statement on its covering schedule that the presentation was made within the time limits extended in accordance with sub-article 29(a).
b.如果在顺延后的第一个银行工作日交单,指定银行必须在其致开证行或保兑行的面涵中声明交单是在根据第二十九条a款顺延的期限内提交的。

Article 30 Tolerance in Credit Amount,Quantity and Unit Prices

a.The words“about”or“approximately”used in connection with the amount of the credit or the quantity or the unit price stated in the credit are to be construed as allowing a tolerance not to exceed 10% more or 10% less than the amount,the quantity or the unit price to which they refer.
a.“约”或“大约”用于信用证金额或信用证规定的数量或单价时,应解释为允许有关金额或数量或单价有不超过10%的增减幅度。
b.A tolerance not to exceed 5% more or 5% less than the quantity of the goods is allowed,provided the credit does not state the quantity in terms of a stipulated number of packing units or individual items and the total amount of the drawings does not exceed the amount of the credit.
b.在信用证未以包装单位件数或货物自身件数的方式规定货物数量时,货物数量允许有5%的增减幅度,只要总支取金额不超过信用证金额。
c.Even when partial shipments are not allowed,a tolerance not to exceed 5% less than the amount of the credit is allowed,provided that the quantity of the goods,if stated in the credit,is shipped in full and a unit price,if stated in the credit,is not reduced or that sub-article 30(b)is not applicable.This tolerance does not apply when the credit stipulates a specific tolerance or uses the expressions referred to in sub-article 30(a).

Article 31 Partial Drawings or Shipments
第三十一条 分批支款或分批装运
a.Partial drawings or shipments are allowed.a.允许分批支款或分批装运
b.A presentation consisting of more than one set of transport documents evidencing shipment commencing on the same means of conveyance and for the same journey,provided they indicate the same destination,will not be regarded as covering a partial shipment,even if they indicate different dates of shipment or different ports of loading,places of taking in charge or dispatch.If the presentation consists of more than one set of transport documents,the latest date of shipment as evidenced on any of the sets of transport documents will be regarded as the date of shipment.
b.表明使用同一运输工具并经由同次航程运输的数套运输单据在同一次提交时,只要显示相同目的地,将不视为部分发运,即使运输单据上标明的发运日期不通或装卸港、接管地或发送地点不同。如果交单由数套运输单据构成,其中最晚的一个发运日将被视为发运日。
A presentation consisting of one or more sets of transport documents evidencing shipment on more than one means of conveyance within the same mode of transport will be regarded as covering a partial shipment,even if the means of conveyance leave on the same day for the same destination.
含有一套或数套运输单据的交单,如果表明在同一种运输方式下经由数件运输工具运输,即使运输工具在同一天出发运往同一目的地,仍将被视为部分发运。
c.A presentation consisting of more than one courier receipt,post receipt or certificate of posting will not be regarded as a partial shipment if the courier receipts,post receipts or certificates of posting appear to have been stamped or signed by the same courier or postal service at the same place and date and for the same destination.
c.含有一份以上快递收据、邮政收据或投邮证明的交单,如果单据看似由同一块地或邮政机构在同一地点和日期加盖印戳或签字并且表明同一目的地,将不视为部分发运。
Article 32 Instalment Drawings or Shipments
第三十二条 分期支款或分期装运
If a drawing or shipment by instalments within given periods is stipulated in the credit and any instalment is not drawn or shipped within the period allowed for that instalment,the credit ceases to be available for that and any subsequent instalment.
如信用证规定在指定的时间段内分期支款或分期发运,任何一期未按信用证规定期限支取或发运时,信用证对该期及以后各期均告失效。
Article 33 Hours of Presentation
第三十三条 交单时间
A bank has no obligation to accept a presentation outside of its banking hours.
银行在其营业时间外无接受交单的义务。
Article 34 Disclaimer on Effectiveness of Documents
第三十四条 关于单据有效性的免责
A bank assumes no liability or responsibility for the form,sufficiency,accuracy,genuineness,falsification or legal effect of any document,or for the general or particular conditions stipulated in a document or superimposed thereon;nor does it assume any liability or responsibility for the description,quantity,weight,quality,condition,packing,delivery,value or existence of the goods,services or other performance represented by any document,or for the good faith or acts or omissions,solvency,performance or standing of the consignor,the carrier,the forwarder,the consignee or the insurer of the goods or any other person.
银行对任何单据的形式、充分性、准确性、内容真实性、虚假性或法律效力,或对单据中规定或添加的一般或特殊条件,概不负责;银行对任何单据所代表的货物、服务或其他履约行为的描述、数量、重量、品质、状况、包装、交付、价值或其存在与否,或对发货人、承运人、货运代理人、收货人、货物的保险人或其他任何人的诚信与否,作为或不作为、清偿能力、履约或资信状况,也概不负责。
Article 35 Disclaimer on Transmission and Translation
第三十五条 关于信息传递和翻译的免责
A bank assumes no liability or responsibility for the consequences arising out of delay,loss in transit,mutilation or other errors arising in the transmission of any messages or delivery of letters or documents,when such messages,letters or documents are transmitted or sent according to the requirements stated in the credit,or when the bank may have taken the initiative in the choice of the delivery service in the absence of such instructions in the credit.
当报文、信件或单据按照信用证的要求传输或发送时,或当信用证未作指示,银行自行选择传送服务时,银行对报文传输或信件或单据的递送过程中发生的延误、中途遗失、残缺或其他错误产生的后果,概不负责。
If a nominated bank determines that a presentation is complying and forwards the documents to the issuing bank or confirming bank,whether or not the nominated bank has honoured or negotiated,an issuing bank or confirming bank must honour or negotiate,or reimburse that nominated bank,even when the documents have been lost in transit between the nominated bank and the issuing bank or confirming bank,or between the confirming bank and the issuing bank.
如果指定银行确定交单相符并将单据发往开证行或保兑行。无论指定的银行是否已经承付或议付,开证行或保兑行必须承付或议付,或偿付指定银行,即使单据在指定银行送往开证行或保兑行的途中,或保兑行送往开证行的途中丢失。
A bank assumes no liability or responsibility for errors in translation or interpretation of technical terms and may transmit credit terms without translating them.
银行对技术术语的翻译或解释上的错误,不负责任,并可不加翻译地传送信用证条款。
Article 36 Force Majeure
第三十六条 不可抗力
A bank assumes no liability or responsibility for the consequences arising out of the interruption of its business by Acts of God,riots,civil commotions,insurrections,wars,acts of terrorism,or by any strikes or lockouts or any other causes beyond its control.
银行对由于天灾、暴动、骚乱、叛乱、战争、恐怖主义行为或任何罢工、停工或其无法控制的任何其他原因导致的营业中断的后果,概不负责。
A bank will not,upon resumption of its business,honour or negotiate under a credit that expired during such interruption of its business.
银行恢复营业时,对于在营业中断期间已逾期的信用证,不再进行承付或议付。
Article 37 Disclaimer for Acts of an Instructed Party
第三十七条 关于被指示方行为的免责
a.A bank utilizing the services of another bank for the purpose of giving effect to the instructions of the applicant does so for the account and at the risk of the applicant.
a.为了执行申请人的指示,银行利用其他银行的服务,其费用和风险由申请人承担。
b.An issuing bank or advising bank assumes no liability or responsibility should the instructions it transmits to another bank not be carried out,even if it has taken the initiative in the choice of that other bank.
b.即使银行自行选择了其他银行,如果发出指示未被执行,开证行或通知行对此亦不负责。
c.A bank instructing another bank to perform services is liable for any commissions,fees,costs or expenses(“charges”)incurred by that bank in connection with its instructions.
c.指示另一银行提供服务的银行有责任负担被执释放因执行指示而发生的任何佣金、手续费、成本或开支(“费用”)。
If a credit states that charges are for the account of the beneficiary and charges cannot be collected or deducted from proceeds,the issuing bank remains liable for payment of charges.
如果信用证规定费用由受益人负担,而该费用未能收取或从信用证款项中扣除,开证行依然承担支付此费用的责任。
A credit or amendment should not stipulate that the advising to a beneficiary is conditional upon the receipt by the advising bank or second advising bank of its charges.
信用证或其修改不应规定向受益人的通知以通知行或第二通知行收到其费用为条件。
d.The applicant shall be bound by and liable to indemnify a bank against all obligations and responsibilities imposed by foreign laws and usages.
d.外国法律和惯例加诸于银行的一切义务和责任,申请人应受其约束,并就此对银行负补偿之责。
Article 38 Transferable Credits
第三十八条 可转让信用证
a.A bank is under no obligation to transfer a credit except to the extent and in the manner expressly consented to by that bank.
a.银行无办理转让信用证的义务,除非该银行明确同意其转让范围和转让方式。
b.For the purpose of this article:
b.就本条款而言:
Transferable credit means a credit that specifically states it is“transferable”.A transferable credit may be made available in whole or in part to another beneficiary(“second beneficiary”)at the request of the beneficiary(“first beneficiary”).
转让信用证意指明确表明其“可以转让”的信用证。根据受益人(“第一受益人”)的请求,转让信用证可以被全部或部分地转让给其他受益人(“第二受益人”)。
Transferring bank means a nominated bank that transfers the credit or,in a credit available with any bank,a bank that is specifically authorized by the issuing bank to transfer and that transfers the credit.An issuing bank may be a transferring bank.
转让银行意指办理信用证转让的被指定银行,或者,在适用于任何银行的信用证中,转让银行是由开证行特别授权并办理转让信用证的银行。开证行也可担任转让银行。
Transferred credit means a credit that has been made available by the transferring bank to a second beneficiary.
转让信用证意指经转让银行办理转让后可供第二受益人使用的信用证。
c.Unless otherwise agreed at the time of transfer,all charges(such as commissions,fees,costs or expenses)incurred in respect of a transfer must be paid by the first beneficiary.
c.除非转让时另有约定,所有因办理转让而产生的费用(诸如佣金、手续费、成本或开支)必须由第一受益人支付。
d.A credit may be transferred in part to more than one second beneficiary provided partial drawings or shipments are allowed.
d.倘若信用证允许分批支款或分批装运,信用证可以被部分地转让给一个以上的第二受益人。
A transferred credit cannot be transferred at the request of a second beneficiary to any subsequent beneficiary.The first beneficiary is not considered to be a subsequent beneficiary.
第二受益人不得要求将信用证转让给任何次序位居其后的其他受益人。第一受益人不属于此类其他受益人之列。
e.Any request for transfer must indicate if and under what conditions amendments may be advised to the second beneficiary.The transferred credit must clearly indicate those conditions.
e.任何有关转让的申请必须指明是否以及在何种条件下可以将修改通知第二受益人。转让信用证必须明确指明这些条件。
f.If a credit is transferred to more than one second beneficiary,rejection of an amendment by one or more second beneficiary does not invalidate the acceptance by any other second beneficiary,with respect to which the transferred credit will be amended accordingly.For any second beneficiary that rejected the amendment,the transferred credit will remain unamended.
f.如果信用证被转让给一个以上的第二受益人,其中一个或多个第二受益人拒绝接受某个信用证修改并不影响其他第二受益人接受修改。对于接受修改的第二受益人而言,信用证已做相应的修改;对于拒绝接受修改的第二受益人而言,该转让信用证仍未被修改。
g.The transferred credit must accurately reflect the terms and conditions of the credit,including confirmation,if any,with the exception of:
g.转让信用证必须准确转载原证的条款及条件,包括保兑(如有),但下列项目除外:
•the amount of the credit,
•信用证金额,
•any unit price stated therein,
•信用证规定的任何单价,
•the expiry date,
•到期日,
•the period for presentation,
•单据提示期限
•the latest shipment date or given period for shipment,
•最迟装运日期或规定的装运期间。
any or all of which may be reduced or curtailed.
以上任何一项或全部均可减少或缩短。
The percentage for which insurance cover must be effected may be increased to provide the amount of cover stipulated in the credit or these articles.
必须投保的保险金额的投保比例可以增加,以满足原信用证或本惯例规定的投保金额。
The name of the first beneficiary may be substituted for that of the applicant in the credit.
可以用第一受益人的名称替换原信用证中申请人的名称。
If the name of the applicant is specifically required by the credit to appear in any document other than the invoice,such requirement must be reflected in the transferred credit.
如果原信用证特别要求开证申请人名称应在除发票以外的任何单据中出现时,则转让信用证必须反映出该项要求。
h.The first beneficiary has the right to substitute its own invoice and draft,if any,for those of a second beneficiary for an amount not in excess of that stipulated in the credit,and upon such substitution the first beneficiary can draw under the credit for the difference,if any,between its invoice and the invoice of a second beneficiary.
h.第一受益人有权以自己的发票和汇票(如有),替换第二受益人的发票和汇票(如有),其金额不得超过原信用证的金额。在如此办理单据替换时,第一受益人可在原信用证项下支取自己发票与第二受益人发票之间产生的差额(如有)。
i.If the first beneficiary is to present its own invoice and draft,if any,but fails to do so on first demand,or if the invoices presented by the first beneficiary create discrepancies that did not exist in the presentation made by the second beneficiary and the first beneficiary fails to correct them on first demand,the transferring bank has the right to present the documents as received from the second beneficiary to the issuing bank,without further responsibility to the first beneficiary.
i.如果第一受益人应当提交其自己的发票和汇票(如有),但却未能在收到第一次要求时照办;或第一受益人提交的发票导致了第二受益人提示的单据中本不存在的不符点,而其未能在收到第一次要求时予以修正,则转让银行有权将其从第二受益人处收到的单据向开证行提示,并不再对第一受益人负责。
j.The first beneficiary may,in its request for transfer,indicate that honour or negotiation is to be effected to a second beneficiary at the place to which the credit has been transferred,up to and including the expiry date of the credit.This is without prejudice to the right of the first beneficiary in accordance with sub-article 38(h).
j.第一受益人可以在其提出转让申请时,表明可在信用证被转让的地点,在原信用证的到期日之前(包括到期日)向第二受益人予以兑付或议付。本条款并不损害第一受益人在第三十八条h款下的权利。
k.Presentation of documents by or on behalf of a second beneficiary must be made to the transferring bank.
k.由第二受益人或代表第二受益人提交的单据必须向转让银行提示。
Article 39 Assignment of Proceeds
第三十九条 款项让渡
The fact that a credit is not stated to be transferable shall not affect the right of the beneficiary to assign any proceeds to which it may be or may become entitled under the credit,in accordance with the provisions of applicable law.This article relates only to the assignment of proceeds and not to the assignment of the right to perform under the credit.
信用证未表明可转让,并不影响受益人根据所适用的法律规定,将其在该信用证项下有权获得的款项让渡与他人的权利。本条款所涉及的仅是款项的让渡,而不是信用证项下执行权利的让渡。
