Notes

1.offer:a clear proposal by one party to another to do business.If the offer is unconditionally accepted,a bargain has been struck and a binding contract can exist between the two parties报盘

firm offer:an offer that is fixed.It usually has legal binding and cannot be changed or withdrawn once accepted实盘

non-firm offer:an offer that is not fixed.In legal sense,it sometimes plays the function of a quotation and therefore has no legal binding.It is subject to the seller's final confirmation after being accepted by the buyer虚盘

2.proforma,or pro-forma invoice:a sample invoice to give a possible buyer information about prices,discounts,charges and conditions of sales if he places an order,usually,it is a way of making a quotation形式发票,估价单

3.subject to:dependent on;on condition that取决于,视……而定

An offer subject to contract means it doesn't become binding until a final contract is signed.

draft at sight,or sight draft:a bill of exchange payable when presented to the debtor即期汇票(A draft payable at sight is also called a sight bill)

8.FOB,or free on board:in foreign-trade contracts,the seller's price includes all charges and risks up to the point where the seller delivers the goods on board the ship named by the buyer at the named port.From that point,all charges and risks have to be borne by the buyer离岸价

9.documentary L/C:one to which a number of documents such as a bill of lading,insurance,certificate,invoice,etc.,have to be joined by the exporter to get payment from the bank跟单信用证

13.purchase order:a document containing a formal offer from an intending buyer to buy from a supplier the goods listed,in the quantities and at the prices stated in the order.A contract comes into existence as soon as the supplier sends the buyer a formal acknowledgment订购单

The contract is based on the purchase order which you sent us last Friday.
