What is the name of commodity in international trade?
In foreign trade contracts, it is common to include clauses such as "Name of Commodity" or "Description of Commodity".
Name of Commodity is an address or concept of some commodity, which is different from other commodities. The name of commodity, to a certain extent, reflects the natural attribute of commodity , as well as the main performance characteristics.
Take 'Chinese green tea' as an example. This name distinguishes the product from black tea or green tea from other countries, reflecting the origin and basic characteristic of the product.
The name also represents the goods that usually should have the quality. It is the essential main trading conditions in the contract. For example，‘Pure cotton shirt’，indicating the quality of the product, that is, the composition is 100% cotton.
The clause of name of commodity is a main component of the Description of Goods. As the basis of a transaction, it concerns the rights and obligations of the seller and buyer. If the goods delivered by the seller are not in line with the agreed name of commodity, the buyer reserves the right to lodge a claim against the seller,reject the goods or even cancel the contract.
2.How to name the goods?
In order to avoid any misunderstanding or misinterpretation, the name of commodity should meet the following requirements:
(1) Being Clear, Specific and Concrete
The name of commodity should not only refer to the category within which the commodity falls into, but also include necessary descriptive words that can distinguish the commodity from the other similar ones within the same general category.
For example,“Food stuff” is too general to exactly identify what the commodity is. Specific words like “Beef” ,"tomato” are acceptable. "Ladies Apparel" is another example that is not acceptable.
At least, it should be replaced with "Ladies' Clothing"，"Ladies Shoes" ，"Ladies' Jewelry"， ‘Ladies' cotton blouses’ may even used to include more details that may help better distinguish the commodity and avoid possible disputes.
(2) Being Practical
The name of the commodity specified in the clause must be the goods that the seller can supply and the buyer needs, and any impossible or unnecessary descriptive words and sentences shall not be included. For example, "100% cashmere coat" is technically difficult to achieve. so the name is not applicable. Otherwise it will lead to the consequence that the delivered goods are inconsistent and rejected by the buyer.
(3) Adopting Widely Accepted Names
Sometimes a product is named differently in different countries and regions. International names should be used as far as possible. If local names are used, the buyer and the seller should reach a consensus on the meaning in advance, and the naming and translation of some new commodities shall be accurate, easy to understand, and in line with international customary terms.
(4) It is compatible with the product name stipulated in the Harmonized Commodity Description and Coding System (H.S. code).
H.S. code is extensively used by more than 200 countries. It is formulated by the international customs Council and is a quantitative management system for the tariff rates that should be levied/refunded on various products entering and leaving the country. The harmonized system provides a unified classification of goods and contributes to the smooth progress of international trade.
(5) In some cases, the selection of appropriate product names may reduce customs tariffs, facilitate import and export, and save freight expenses.
